Introduction
The Internal Revenue Bulletin is the authoritative instrument of
the Commissioner of Internal Revenue for announcing official
rulings and procedures of the Internal Revenue Service and for
publishing Treasury Decisions, Executive Orders, Tax Conven-
tions, legislation, court decisions, and other items of general
interest. It is published weekly and may be obtained from the
Superintendent of Documents on a subscription basis. Bulletin
contents are compiled semiannually into Cumulative Bulletins,
which are sold on a single-copy basis.
It is the policy of the Service to publish in the Bulletin all sub-
stantive rulings necessary to promote a uniform application of
the tax laws, including all rulings that supersede, revoke, mod-
ify, or amend any of those previously published in the Bulletin.
All published rulings apply retroactively unless otherwise indi-
cated. Procedures relating solely to matters of internal man-
agement are not published; however, statements of internal
practices and procedures that affect the rights and duties of
taxpayers are published.
Revenue rulings represent the conclusions of the Service on the
application of the law to the pivotal facts stated in the revenue
ruling. In those based on positions taken in rulings to taxpayers
or technical advice to Service field offices, identifying details
and information of a confidential nature are deleted to prevent
unwarranted invasions of privacy and to comply with statutory
requirements.
Rulings and procedures reported in the Bulletin do not have the
force and effect of Treasury Department Regulations, but they
may be used as precedents. Unpublished rulings will not be
relied on, used, or cited as precedents by Service personnel in
the disposition of other cases. In applying published rulings and
procedures, the effect of subsequent legislation, regulations,
court decisions, rulings, and procedures must be considered,
and Service personnel and others concerned are cautioned
against reaching the same conclusions in other cases unless
the facts and circumstances are substantially the same.
The Bulletin is divided into four parts as follows:
Part I.—19
86 Code.
This part i
ncludes rulings and decisions based on provisions of
the Intern
al Revenue Code of 1986.
Part II.—Treaties and Tax Legislation.
This part is divided into two subparts as follows: Subpart A,
Tax Conventions and Other Related Items, and Subpart B, Leg-
islation and Related Committee Reports.
Part III.—Administrative, Procedural, and Miscellaneous.
To the extent practicable, pertinent cross references to these
subjects are contained in the other Parts and Subparts. Also
included in this part are Bank Secrecy Act Administrative Rul-
ings. Bank Secrecy Act Administrative Rulings are issued by
the Department of the Treasury’s Office of the Assistant Secre-
tary (Enforcement).
Part IV
.—Items of General Interest.
This par
t includes notices of proposed rulemakings, disbar-
ment an
d suspension lists, and announcements.
The last Bulletin for each month includes a cumulative index
for the matters published during the preceding months. These
monthly indexes are cumulated on a semiannual basis, and are
published in the last Bulletin of each semiannual period.

ontents of this publication are not copyrighted and may be reprinted freely. A citation of the Internal Revenue Bulletin as the source would be appropriate.

Guidance Under
§ 409A(a)(2)(A)(v) on Certain
Transactions Pursuant to
the Emergency Economic
Stabilization Act of 2008
Notice 2009–49
I. PURPOSE
This notice provides guidance with re-
spect to whether a transaction under the
Emergency Economic Stabilization Act
of 2008, as amended (12 U.S.C. 5021et
seq.) (EESA), that involves the acquisition
by, or on behalf of, the Treasury Depart-
ment of preferred stock, common stock,
warrants to purchase common stock, or
other types of equity of a financial in-
stitution or other entity, is an event with
respect to which a payment can be made
under a nonqualified deferred compensa-
tion plan pursuant to § 409A(a)(2)(A)(v)
of the Internal Revenue Code (Code)
and § 1.409A–3(a)(5) of the Income Tax
Regulations (a permissible § 409A pay-
ment event). This notice clarifies that,
for purposes of § 1.409A–3(a)(5), such a
transaction is not a change in ownership or
effective control, or a change in the own-
ership of a substantial portion of the assets
of the corporation and, accordingly, is not
a permissible § 409A payment event. The
Treasury Department and the IRS intend
to amend the regulations under § 409A
to incorporate the guidance set out in this
notice. The guidance in this notice is ef-
fective for, and the amended regulations
will be applicable to, transactions occur-
ring on or after June 4, 2009.
II. BACKGROUND
A. Section 409A and Permissible
Change in Control Event Distributions
Section 409A prescribes certain re-
quirements applicable to nonqualified
deferred compensation plans. If a plan
does not meet those requirements, partic-
ipants in the plan are required to include
immediately compensation otherwise de-
ferred under the plan in income and pay
taxes on such income. As provided by
§ 409A(a)(1)(A)(i), a nonqualified de-
ferred compensation plan must comply
with the requirements of § 409A(a) both
in form and in operation.
Section 409A(a)(2)(A) provides that
compensation deferred under a nonqual-
ified deferred compensation plan may
not be distributed earlier than one of six
specified events or times that include, in
the case of a plan maintained by a cor-
poration, to the extent provided by the
Secretary of the Treasury (Secretary), a
change in the ownership or effective con-
trol of the corporation, or in the ownership
of a substantial portion of the assets of
the corporation. Section 409A(e)(2) pro-
vides that the Secretary shall prescribe
such regulations as may be necessary or
appropriate to carry out the purposes of
section 409A, including regulations relat-
ing to changes in ownership and control
of a corporation for purposes of section
409A(a)(2)(A)(v).
The Treasury Department and the IRS
issued final regulations under § 409A in
April 2007 (T.D. 9321, 2007–1 C.B. 1123
[72 Fed. Reg. 19234] (April 17, 2007)).
The final regulations apply to taxable years
beginning on or after January 1, 2009. Sec-
tion 1.409A–3(a) provides that the require-
ments of § 409A(a)(2)(A) are met only if
the plan provides that an amount of de-
ferred compensation under the plan may
be paid only upon one of the six payment
triggers set forth in § 1.409A–3(a). These
permissible payment triggers include, un-
der § 1.409A–3(a)(5), a change in the own-
ership or effective control of the corpora-
tion, or in the ownership of a substantial
portion of the assets of the corporation (in
accordance with § 1.409A–3(i)(5)). Sec-
tion 1.409A–3(i)(5) provides a definition
of a change in the ownership or effective
control of a corporation, or a change in the
ownership of a substantial portion of the
assets of the corporation (collectively re-
ferred to in this notice as a change in con-
trol event).
B. The Emergency Economic
Stabilization Act of 2008
The Treasury Department established
the Troubled Asset Relief Program
(TARP) under EESA, which was enacted
on October 3, 2008. EESA provided im-
mediate authority and facilities that the
Secretary could use to restore liquidity and
stability to the financial system. Section
101(a) of EESA authorizes the Secretary
to establish the TARP to “purchase, and
to make and fund commitments to pur-
chase, troubled assets from any financial
institution, on such terms and conditions
as are determined by the Secretary, and in
accordance with this Act and the policies
and procedures developed and published
by the Secretary.”
As part of its effort to restore liquid-
ity and stability to the financial system,
the Treasury Department has developed
several programs and may develop addi-
tional programs. Under these programs,
the Treasury Department has participated,
and may participate in the future, in nu-
merous transactions with financial insti-
tutions and other entities that involve the
acquisition by, or on behalf of, the Trea-
sury Department of preferred stock, com-
mon stock, warrants to purchase common
stock, or other types of equity of the finan-
cial institution or other entity (collectively
referred to as Treasury EESA Equity Ac-
quisition Transactions).
The Treasury Department and the IRS
anticipate that most ofthe financial insti-
tutions and other entities involved in Trea-
sury EESA Equity Acquisition Transac-
tions are, and will be, sponsors of nonqual-
ified deferred compensation plans subject
to § 409A of the Code. Questions have
arisen whether the Federal government’s
acquisition of an equity interest in a finan-
cial institution or other entity in connec-
tion with a Treasury EESA Equity Acqui-
sition Transaction constitutes a change in
control event and accordingly a permissi-
ble § 409A payment event.
The final regulations under § 409A
were promulgated before the enactment
of EESA. Therefore, the final regulations
do not explicitly provide guidance with
respect to whether a Treasury EESA Eq-
uity Acquisition Transaction constitutes a
change in control event and a permissible
§ 409A payment event.
The Treasury Department and IRS
have determined that a Treasury EESA
Equity Acquisition Transaction is not a
change in control event under § 409A and
the final regulations. Treating a Treasury
EESA Equity Acquisition Transaction as
a change in control event and, therefore, a
2009–25 I.R.B.1093June 22, 2009

permissible payment event, would be in-
consistent with the purposes of EESA and
§ 409A, and would be contrary to the pub-
lic interest. For example, payment of non-
qualified deferred compensation amounts
as a result of a Treasury EESA Equity
Acquisition Transaction could reduce the
liquidity of the financial institution or
other entity, which is directly contrary to
the purpose of a Treasury EESA Equity
Acquisition Transaction.
III. GUIDANCE
For purposes of § 409A, a Treasury
EESA Equity Acquisition Transaction is
not a change in control event and, ac-
cordingly, is not a permissible § 409A
payment event. (This notice does not
address whether a Treasury EESA Eq-
uity Acquisition Transaction constitutes
a change in control event for any other
purpose). Accordingly, a nonqualified
deferred compensation plan will fail to
satisfy the requirements of § 409A(a) if a
payment is made on account of a Treasury
EESA Equity Acquisition Transaction and
will not fail to satisfy the requirements of
§ 409A(a) merely because the plan fails to
make a payment on account of a Treasury
EESA Equity Acquisition Transaction. A
nonqualified deferred compensation plan
will not fail to satisfy the plan document
requirements of § 409A(a) and the regula-
tions thereunder merely because the plan
fails to explicitly provide that a Treasury
EESA Equity Acquisition Transaction
will not trigger a payment under the plan,
regardless of whether the plan incorpo-
rates the definition of a change in control
event by reference tothe final regulations
or sets forth a definition of a change in
control event that otherwise meets the re-
quirements of the final regulations. The
guidance in this notice is effective June 4,
2009.
IV. ANTICIPATED REGULATIONS
The Treasury Department and the IRS
intend to amend the regulations under
§ 409A(a) to incorporate the guidance set
out in this notice. Such amended regula-
tions will be applicable to Treasury EESA
Equity Acquisition Transactions entered
into on or after June 4, 2009.

Tax Credit; Coordination
With Department of Treasury
Grants for Specified Energy
Property in Lieu of Tax Credits
Notice 2009–52
This notice describes the procedures
that taxpayers will be required to follow to
make the irrevocable election to take the
investment tax credit determined under
§ 48 of the Internal Revenue Code in lieu
of the production tax credit under § 45
with respect to certain renewable energy
facilities. This election was created by
the American Recovery and Reinvestment
Tax Act of 2009, Division B of Pub. L.
111–5, 123 Stat 115 (the Act), which was
enacted on February 17, 2009. This notice
includes information about election pro-
cedures and the documentation required to
complete the election. The notice also de-
scribes the coordination of the tax credits
under §§ 45 and 48 with Treasury Depart-
ment grants for specified energy property
under § 1603 of the Act (Section 1603
Grants).
SECTION 1. Background
.01In General. Section 48(a)(5) al-
lows taxpayers to irrevocably elect to take
the investment tax credit determined un-
der § 48 in lieu of the production tax credit
under § 45 with respect to certain renew-
able energy facilities. Section 46 pro-
vides for the investment tax credit and in-
cludes in that credit the energy credit de-
termined under § 48. Except as other-
wise provided in § 48(c)(1)(B), (2)(B), and
(3)(B), the energy credit for any taxable
year is the energy percentage of the basis
of each energy property placed in service
during the taxable year. Section 48(a)(1).
Section 48(a)(5)(A) provides that qualified
property that is part of a qualified invest-
ment credit facility shall be treated as en-
ergy property for purposes of § 48, and
that the energy percentage with respect to
such property shall be 30 percent. Sec-
tion 48(a)(5)(C) provides that taxpayers
may elect to treat certain qualified facili-
ties (within the meaning of § 45) as qual-
ified investment credit facilities. Section
48(a)(5)(B) provides that no credit shall be
allowed under § 45 for any taxable year
with respect to any qualified investment
credit facility.
.02Qualified Investment Credit Facil-
ity. Section 48(a)(5)(C) provides that the
term “qualified investment credit facil-
ity” means a qualified facility (within the
meaning of § 45)—
(1) that is described in § 48(a)(5(C)(i)
or (ii);
(2) for which the taxpayer makes an ir-
revocable election to have § 48(a)(5) ap-
ply; and
(3) with respect to which no credit has
been allowed under § 45.
SECTION 2. Election Procedures

credit facility and take the investment tax
credit determined under § 48 in lieu of the
production tax credit under § 45 will be ef-
fective if it is made in the form and man-
ner set forth in this notice. To make the
election with respect to a qualified facil-
ity, a taxpayer must claim the energy credit
with respect to qualified property that is
an integral part of the facility on a com-
pleted Form 3468 and file such form with
the taxpayer’s income tax return for the
year in which the property is placed in ser-
vice. The taxpayer must make a separate
election for each qualified facility that is to
be treated as a qualified investment credit
facility. The taxpayer must also attach a
statement to the Form 3468 that includes
the following information:
(1) The name, address, taxpayer identi-
fication number, and telephone number of
the taxpayer.
(2) For each qualified investment credit
facility:
(i) A detailed technical description of
the facility, including generating capacity.

(ii) A detailed technical description of
the energy property placed in service dur-
ing the taxable year as an integral part of
the facility, including a statement that the
property is an integral part of such facility.
(iii) The date that the energy property
was placed in service.
(iv) An accounting of the taxpayer’s ba-
sis in the energy property.
(v) A depreciation schedule reflecting
the taxpayer’s remaining basis in the en-
ergy property after the energy credit is
claimed.
(3) A statement that the taxpayer has not
and will not claim a Section 1603 Grant for
property for which the taxpayer is claiming
the energy credit.
(4) A declaration, applicable to the
statement and any accompanying docu-

cluding accompanying documents, and
to the best of my knowledge and belief,
the facts presented in support of this
statement are true, correct, and com-
plete.”
.02Effective Date. The election to take
the investment tax credit determined under
§ 48 in lieu of the production tax credit
under § 45 is available for facilities placed
in service after December 31, 2008.

duction tax credit under § 45 must be made
on a timely filed return (including exten-
sions) for the taxable year in which facility
that is to be treated a qualified investment
credit facility is placed in service.
.04Revocation. Section 48(a)(5)(C)
makes the election to treat a facility as a
qualified investment credit facility irrevo-
cable.
SECTION 3. Documentation Required
In order to satisfy the recordkeeping re-
quirements of § 6001 and the regulations
thereunder, a taxpayer that elects to claim
the investment tax credit determined under
§ 48 in lieu of the production tax credit un-
der § 45 must retain adequate books and
records. This requirement specifically in-
cludes the statement described in section 2
of this notice, the Form 3468, and all sup-
porting documentation relevant to the elec-
tion and the taxpayer’s credit claim under
§ 48, so that, for any taxable year, the IRS
may verify that the property with respect to
which the taxpayer claimed the credit sat-
isfies the applicable requirements of § 48
and this notice.
SECTION 4. Coordination with
Department Of Treasury Grants
Section 48(d) governs the interaction
between the investment tax credit deter-
mined under § 48 and Section 1603 Grants.
Generally, § 1603 of the Act requires the
Treasury Department to make grants to
persons who place inservice specified
energy property (including certain energy
property eligible for the investment tax
credit determined under § 48 or the pro-
duction tax credit under § 45). Section
48(d)(1) provides, in the case of property
with respect to which the Treasury makes
aSection1603Grant,thatnocreditmay

respect to such property for the taxable
year in which such grant is made or any
subsequent taxable year.

Notice 2009–53
SECTION 1. PURPOSE
This notice updates interim guidance,
pending the issuance of regulations, relat-
ing to the credit for nonbusiness energy
property under § 25C of the Internal
Revenue Code. Specifically, this notice
provides procedures that manufacturers
may follow to certifyproperty as either
eligible building envelope components or
qualified energy property, as well as guid-
ance regarding the conditions under which
taxpayers seeking to claim the § 25C credit
may rely on a manufacturer’s certifica-
tion. Additionally, this notice provides
guidance about changes made to the § 25C
credit by the Energy Improvement and
Extension Act of 2008 (EIEA), Division
B of Pub. L. No. 110–343, 122 Stat. 3765
(2008), and the American Recovery and
Reinvestment Tax Act of 2009 (ARRTA),

(EPACT), Pub. L. No. 109–58, 119 Stat.
594 (2005), added § 25C to the Internal
Revenue Code. Section 25C, as added
by EPACT, provided a credit for amounts
paid or incurred for qualified energy ef-
ficiency improvements installed during
a taxable year and for residential energy
property expenditures paid or incurred by
a taxpayer during the taxable year. Section
25C, as added by EPACT and as modified
by EIEA and ARRTA, defines qualified
energy efficiency improvements as build-
ing envelope components that satisfy
specified efficiency standards (eligible
building envelope components) and the
requirements listed in section 2.05(1) of
this notice and defines residential energy
property expenditures as expenditures for
energy property thatsatisfies specified
energy standards (qualified energy prop-
erty) and the requirements listed in section
2.05(1) of this notice. The credit was
available for property placed in service
after December 31, 2005, and before Jan-
uary 1, 2008. Notice 2006–26, 2006–1

itations from, prior years are disregarded
in applying this limitation); and
(3) Applies new energy efficiency stan-
dards for certain types of property (see sec-
tions 4.01 and 5.01 of this notice).
.05General Provisions. Under all three
of the acts, EPACT, EIEA, and ARRTA,
the following provisions apply:
(1)Requirements to Claim the Credit.
A taxpayer may claim a credit under § 25C
with respect to amounts paid or incurred
for an item of property only if each of the
following requirements is satisfied:
(a) The item is installed in or on a
dwelling unit located in the United States
and, at the time of installation, the dwelling
unit is owned and used by the taxpayer as
the taxpayer’s principal residence (within
the meaning of § 121). Thus, the credit
is only available for existing homes. See
§ 45L for the credit applicable to new
homes.
(b) The original use of the item com-
mences with the taxpayer.
(c) In the case of a building envelope
component described in section 2.03(1) or
4.01 of this notice, the component reason-
ably can be expected to remain in use for at
least five years. For this purpose, a compo-
nent will be treated as reasonably expected
to remain in use for at least five years if
the manufacturer offers, at no extra charge,
at least a two-year warranty providing for
repair or replacement of the component in
the event of a defect in materials or work-
manship. If the manufacturer does not of-
fer such a warranty, all relevant facts and
circumstances are taken into account in de-
termining whether the component reason-
ably can be expected to remain in use for
at least five years.
(2)Time of Expenditure. The credit is
allowed for amounts paid or incurred by
the taxpayer during the taxable year. Sec-
tion 25C(e)(1) incorporates § 25D(e)(8),
relating to the time expenditures are
treated as made. Accordingly, except as
provided in section 2.03(1)(e) and (f) of
this notice, expenditures will be treated as
made for purposes of § 25C when the orig-
inal installation of the property is complete
or, in the case of reconstruction, when the
original use of the reconstructed property
begins.
SECTION 3. REFERENCES TO
THE INTERNATIONAL ENERGY
CONSERVATION CODE
Manufacturers and taxpayers may treat
any reference in thisnotice to the Interna-
tional Energy Conservation Code (IECC)
as a reference to (1) the 2001 Supplement
of the 2000 International Energy Conser-
vation Code, (2) the 2004 Supplement of
the 2003 International Energy Conserva-
tion Code, or (3) the 2009 International
Energy Conservation Code (2009 IECC).
However, a reference to the 2009 IECC is
a reference only to the 2009 International
Energy Conservation Code.

.02Installation Costs. With respect
to eligible building envelope components,
the credit is allowed only for amounts paid
or incurred to purchase the components.
The credit is not allowed for amounts paid
or incurred for the onsite preparation, as-
sembly, or original installation of the com-
ponents.
.03Specifically and Primarily De-
signed. A component is not specifically
and primarily designed to reduce heat loss
or gain of a dwelling unit if it provides
structural support or a finished surface,
as in the case of drywall or siding. In
addition, a component is not specifically
and primarily designed to reduce heat loss
or gain of a dwelling unit if its principal
purpose is to serve any function unrelated
to the reduction of heat loss or gain. For
purposes of the preceding sentence, the
principal purpose of a component is to
serve functions unrelated to the reduction
of heat loss or gain if—
(1) Production costs attributable to fea-
tures other than those that reduce heat loss
or gain exceed production costs attribut-
able to features that reduce heat loss or
gain; or
(2) The facts and circumstances other-
wise establish that the component’s prin-
2009–25 I.R.B.1097June 22, 2009

cipal purpose is to serve a function other
than the reduction of heat loss or gain.
SECTION 5. QUALIFIED ENERGY

.02Installation Costs. For qualified en-
ergy property, the credit is allowed only for
amounts paid or incurred to purchase qual-
ified energy property and for expenditures
for labor costs properly allocable to the on-
site preparation, assembly, or original in-
stallation of the property.
.03Natural Gas, Propane, or Oil Fur-
nace with an Advanced Main Air Circu-
lating Fan. If a natural gas, propane, or
oil furnace is qualifiedenergy property, the
entire amount paid or incurred to purchase
and install the furnace, including any costs
attributable to the furnace’s main air cir-
culating fan, are taken into account in de-
termining the amount of the credit under
§ 25C. If the furnace isnot qualified energy
property, but the furnace’s main air circu-
lating fan is qualified energy property, only
the amount paid or incurred to purchase
and install the fan are taken into account in
determining the amount of the credit under
§ 25C. In such a case—
(1) The amount paid or incurred to pur-
chase and install the main air circulating
fan may be determined by any method that
reasonably allocates costs between the fan
and other components of the furnace;
(2) The manufacturer of the furnace
may determine, using any reasonable
method, the percentage of the cost of the
furnace that is allocable to the fan and
inform taxpayers of the percentage in the
certification it provides under section 6 of
this notice; and
(3) A taxpayer may treat this percentage
of the total amount paid or incurred to pur-
chase and install the furnace as the amount
paid or incurred to purchase and install the
advanced main air circulating fan.
.04Geothermal Heat Pump Property.
The credit under § 25D for geothermal
heat pump property expenditures in tax-
able years beginning after December 31,
2007, is described in Notice 2009–41,
2009–19 I.R.B. 933.
SECTION 6. MANUFACTURER’S
CERTIFICATION
.01Requirements Applicable to Manu-
facturer. The manufacturer of a building
envelope component or energy property
may certify to a taxpayer that the compo-
nent is an eligible building envelope com-
ponent or that the energy property is quali-
fied energy property by providing the tax-
payer with a certification statement that
satisfies the requirements of sections 6.04,
6.05 and 6.06 of this notice. The certifica-
tion statement may be provided by includ-
ingawrittencopyofthestatementwiththe
packaging of the component or property, in
printable form on the manufacturer’s web-
site, or in any other manner that will per-
mit the taxpayer to retain the certification
statement for tax recordkeeping purposes.
.02Taxpayer Reliance. Except as pro-
videdinsections6.03and6.08ofthis
notice, a taxpayer may rely on a manu-
facturer’s certification that a building en-
velope component is an eligible building
envelope component or that energy prop-
erty is qualified energy property. A tax-
payer is not required to attach the certifi-
cation statement to the return on which the
credit is claimed. However, § 1.6001–1(a)
of the Income Tax Regulations requires
that a taxpayer maintain such books and
records as are sufficient to establish the
entitlement to, and amount of, any credit
claimed by the taxpayer. Accordingly, a
taxpayer claiming a credit for an eligible
building envelope component or qualified
energy property should retain the certifi-
cation statement as part of the taxpayer’s
records for purposes of § 1.6001–1(a).
.03Reliance Permitted Only for Instal-
lation Consistent with Certification.Atax-
payer may rely on a manufacturer’s certi-
fication in the case of a building envelope
component only if the building envelope
component is installed in a manner that is
consistent with the manufacturer’s certifi-
cation. For example, in the case of a storm
window (or door), a taxpayer may rely
on the manufacturer’s certification only if
the component is installed over an exte-
rior window (or door) of a class identified
in the certification statement as one which
in combination with the storm window (or
door) has a U factor and SHGC of 0.30 or
below.

turer’s certification must contain the fol-
lowing information:
(1) The name and address of the manu-
facturer.
(2) Identification of the class of eligible
building envelope component as listed in
section 4.01 of this notice or the class of
qualified energy property as listed in sec-
tion 5.01 of this notice in which the com-
ponent or property is included.
(3) The make, model number, and any
other appropriate identifiers of the compo-
nent or property.
(4) A statement that the component is
an eligible building envelope component
as defined in section 4.01 of this notice
or the property is qualified energy prop-
erty as defined in section 5.01 of this no-
tice. In the case of a certification provided
after June 1, 2009, this statement may be
provided only for components that are el-
igible building envelope components and
property that is qualified energy property
under the rules applicable to components
and property placed in service after Febru-
ary 17, 2009.
.05Content of Manufacturer’s Certifi-
cation; Specific Information. A manufac-
turer’s certification statement must contain
any of the following statements that are ap-
plicable:
(1) In the case of an exterior window,
skylight, or door (other than a storm win-
dow or storm door), a statement that the
exterior window, skylight, or door has a U
factor and SHGC of 0.30 or below.
(2) In the case of a storm window, the
classes of exterior window (e.g.,single
pane; double pane, clear glass; double
pane, Low-E coating) over which the
storm window may be installed and that,
in combination with the storm window,
will have a U factor and SHGC of 0.30 or
below.
(3)Inthecaseofastormdoor,the
classes of exterior door (e.g., 1–3/4” insu-
lated steel, 50 percent or less glazing, dou-
ble pane, clear glass) over which the storm
door may be installed and that, in combi-
nation with the storm door, will have a U
factor and SHGC of 0.30 or below.
.06Content of Manufacturer’s Certifi-
cation; Required Declaration.
A manufacturer’s certification state-
ment must contain a declaration, signed
by a person currently authorized to bind
the manufacturer in these matters, in the
following form:
“Under penalties of perjury, I declare
that I have examined this certification
statement, and to the best of my knowl-
edge and belief, the facts are true, correct,
and complete.”
.07Manufacturer’s Records.Amanu-
facturer that certifies to a taxpayer that a
component is an eligible building envelope
component or that property is qualified en-
ergy property must retain in its records
documentation establishing that the com-
ponent or property satisfies the applicable
conditions of section 4.01 or 5.01 of this
notice. In the case of an exterior window,
the manufacturer must retain a record of its
National Fenestration Rating Council rat-
ing. If a manufacturercertifies the percent-
age of the cost of the furnace allocable to
an advanced main air circulating fan, the
manufacturer must maintain in its records
the basis for such allocation. The man-
ufacturer must, upon request, make such
documentation available for inspection by
the Service.
.08Effect of Erroneous Certification or
Failure to Satisfy Documentation Require-
ments. The Service may, upon examina-
tion (and after any appropriate consulta-
tion with the DOE or Environmental Pro-
tection Agency (EPA)), determine that a
component that has been certified under
this section is not an eligible building en-
velope component or that property that
has been certified under this section is not
qualified energy property. In that event, or
if the manufacturer of the component or
property fails to satisfy the requirements
relating to documentation in section 6.07
of this notice, the manufacturer’s right to
provide a certification on which future pur-
chasers of the component or property can
rely will be withdrawn, and taxpayers pur-
chasing the component or property after
the date on which the Service publishes an
announcement of the withdrawal may not
rely on the manufacturer’s certification.
Taxpayers may continue to rely on the cer-
tification for a component or property pur-
chased on or before the date on which the
announcement of the withdrawal is pub-
lished (including in cases in which the
component or property is not installed and
the credit is not claimed until after the
announcement of the withdrawal is pub-
lished). Manufacturers are reminded that
an erroneous certification statement may
result in the imposition of penalties—
(1) Under § 7206 for fraud and making
false statements; and
(2) Under § 6701 for aiding and abet-
ting an understatement of tax liability (in
the amount of $1,000 per return on which
a credit is claimed in reliance on the certi-
fication).
.09Availability of Certification Infor-
mation. Manufacturers are encouraged to
provide a listing of eligible building en-
velope components and qualified energy
property and applicablecertification infor-
mation on their websites to facilitate tax-
payer identification of qualified compo-
nents and energy property.
.10Special Rule for Energy Star.The
Energy Star label designates that the prod-
uct has met energy efficiency guidelines
set by the EPA and the DOE. Not all
Energy Star labeled building envelope
components qualify for the tax credit un-
der § 25C. The component must meet the
definition of an eligible building envelope
component in § 25C. Taxpayers can no
longerrelyonanEnergyStarlabelin
claiming the § 25C credit for exterior win-
dows and skylights placed in service after
the enactment of the ARRTA. Similarly,
an Energy Star label does not establish
that a product is qualified energy property.
The product must meet the definition of
qualifiedenergypropertyin§25C.
SECTION 7. EFFECTIVE DATES AND
TRANSITION RULES.
.01 For amounts that are paid or in-
curred in taxable years beginning after De-
cember 31, 2008, with respect to property

Update for Weighted Average
Interest Rates, Yield Curves,
and Segment Rates
Notice 2009–56
This notice provides guidance as to the
corporate bond weighted average interest
rate and the permissible range of interest
rates specified under § 412(b)(5)(B)(ii)(II)
of the Internal Revenue Code as in ef-
fect for plan years beginning before 2008.
It also provides guidance on the corpo-
rate bond monthly yield curve (and the
corresponding spot segment rates), the
24-month average segment rates, and
the funding transitional segment rates
under § 430(h)(2). In addition, this no-
tice provides guidance as to the interest
rate on 30-year Treasury securities un-
der § 417(e)(3)(A)(ii)(II) as in effect for
plan years beginning before 2008, the
30-year Treasury weighted average rate
under § 431(c)(6)(E)(ii)(I), and the min-
imum present value segment rates under
§ 417(e)(3)(D) as in effect for plan years
beginning after 2007.
CORPORATE BOND WEIGHTED
AVERAGE INTEREST RATE
Sections412(b)(5)(B)(ii)and
412(l)(7)(C)(i), as amended by the Pen-
sion Funding Equity Act of 2004 and by
the Pension Protection Act of 2006 (PPA),
provide that the interest rates used to cal-
culate current liability and to determine
the required contribution under § 412(l)
for plan years beginning in 2004 through
2007 must be within a permissible range
based on the weighted average of the rates
of interest on amounts invested conser-
vatively in long term investment grade
corporate bonds during the 4-year period
ending on the last day before the beginning
of the plan year.
Notice 2004–34, 2004–1 C.B. 848, pro-
vides guidelines for determining the cor-
porate bond weighted average interest rate
and the resulting permissible range of in-
terest rates used to calculate current liabil-
ity. That notice establishes that the corpo-
rate bond weighted average is based on the
monthly composite corporate bond rate de-
rived from designated corporate bond in-
dices. The methodology for determining
the monthly composite corporate bond rate
as set forth in Notice 2004–34 continues to
apply in determining that rate. See Notice
2006–75, 2006–2 C.B. 366.
The composite corporate bond rate for
May 2009 is 6.95 percent. Pursuant to No-
tice 2004–34, the Service has determined
this rate as the average of the monthly
yields for the included corporate bond in-
dices for that month.
The following corporate bond weighted
average interest rate was determined for
plan years beginning in the month shown
below.

YIELD CURVE AND SEGMENT
RATES
Generally for plan years beginning
after 2007 (except for delayed effective
dates for certain plans under sections 104,
105, and 106 of PPA), § 430 of the Code
specifies the minimum funding require-
ments that apply to single employer plans
pursuant to § 412. Section 430(h)(2) spec-
ifies the interest rates that must be used
to determine a plan’s target normal cost
and funding target. Under this provision,
present value is generally determined us-
ing three 24-month average interest rates
(“segment rates”), each of which applies
to cash flows during specified periods.
However, an election may be made under
§ 430(h)(2)(D)(ii) to use the monthly yield
curve in place of the segment rates. For
plan years beginning in 2008 and 2009, a
transitional rule under § 430(h)(2)(G) pro-
vides that the segment rates are blended
with the corporate bond weighted average
as specified above. An election may be
made under § 430(h)(2)(G)(iv) to use the
segment rates without applying the transi-
tional rule.
Notice 2007–81, 2007–44 I.R.B. 899,
provides guidelines for determining the
monthly corporate bond yield curve, the
24-month average corporate bond segment
rates, and the funding transitional segment
rates used to compute the target normal
cost and the funding target. Pursuant to
Notice 2007–81, the monthly corporate
bond yield curve derived from May 2009
data is in Table I at the end of this notice.
The spot first, second, and third segment
rates for the month of May 2009 are, re-
spectively, 4.27, 7.00, and 6.77. The three
24-month average corporate bond seg-
ment rates applicable for June 2009 under
the election of § 430(h)(2)(G)(iv) are as
follows:

30-YEAR TREASURY SECURITIES
INTEREST RATES
Section 417(e)(3)(A)(ii)(II) (prior to
amendment by PPA) defines the appli-
cable interest rate, which must be used
for purposes of determining the minimum
present value of a participant’s benefit
under § 417(e)(1) and (2), as the annual
rate of interest on 30-year Treasury se-
curities for the month before the date
of distribution or such other time as the
Secretary may by regulations prescribe.
Section 1.417(e)–1(d)(3) of the Income
Tax Regulations provides that the applica-
ble interest rate for a month is the annual
rate of interest on 30-year Treasury secu-
rities as specified by the Commissioner
for that month in revenue rulings, notices
or other guidance published in the Internal
Revenue Bulletin.
The rate of interest on 30-year Trea-
sury securities for May 2009 is 4.23 per-
cent. The Service has determined this rate
as the monthly average of the daily de-
termination of yield on the 30-year Trea-
sury bond maturing in February 2039 de-
termined each day through May 6, 2009,
and the yield on the 30-year Treasury bond
maturing in May 2039 determined each
day for the balance of the month.
Generally for plan years beginning
after 2007, § 431 specifies the mini-
mum funding requirements that apply to
multiemployer plans pursuant to § 412.
Section 431(c)(6)(B)specifies a minimum
amount for the full-funding limitation
described in section 431(c)(6)(A), based
on the plan’s current liability. Section
431(c)(6)(E)(ii)(I) provides that the inter-
est rate used to calculate current liability
for this purpose must be no more than 5
percent above and no more than 10 percent
below the weighted average of the rates of
interest on 30-year Treasury securities dur-
ing the four-year period ending on the last
day before the beginning of the plan year.
Notice 88–73, 1988–2 C.B. 383, provides
guidelines for determining the weighted
average interest rate. The following rates
were determined for plan years beginning
in the month shown below.

MINIMUM PRESENT VALUE
SEGMENT RATES
Generally for plan years beginning af-
ter December 31, 2007, the applicable in-
terest rates under § 417(e)(3)(D) are seg-
ment rates computed without regard to a
24-month average. For plan years begin-
ning in 2008 through 2011, the applica-
ble interest rate is the monthly spot seg-
ment rate blended with the applicable rate
under § 417(e)(3)(A)(ii)(II) as in effect
for plan years beginning in 2007. Notice
2007–81 provides guidelines for determin-
ing the minimum present value segment
rates. Pursuant to that notice, the min-
imum present value transitional segment
rates determined for May 2009, taking into
account the May 2009 30-year Treasury
rate of 4.23 stated above, are as follows:

Announcement of Disciplinary Sanctions From the Office
of Professional Responsibility
Announcement 2009-53
TheOfficeofProfessionalResponsi-
bility (OPR) announcesrecent disciplinary
sanctions involving attorneys, certified
public accountants, enrolled agents, en-
rolled actuaries, enrolled retirement plan
agents, and appraisers. These individuals
are subject to the regulations governing
practice before the Internal Revenue Ser-
vice (IRS), which are set out in Title 31,
Code of Federal Regulations, Part 10, and
which are published in pamphlet form as
Treasury Department Circular No. 230.
The regulations prescribe the duties and
restrictions relating to such practice and
prescribe the disciplinary sanctions for
violating the regulations.
The disciplinary sanctions to be im-
posed for violation of the regulations are:
Disbarred from practice before the
IRS—An individual who is disbarred is
not eligible to represent taxpayers before
the IRS.
Suspended from practice before the
IRS—An individual who is suspended is
not eligible to represent taxpayers before
the IRS during the term of the suspension.
Censured in practice before the
IRS—Censure is a public reprimand. Un-
like disbarment or suspension, censure
does not affect an individual’s eligibility
to represent taxpayers before the IRS, but
OPR may subject the individual’s future
representations to conditions designed to
promote high standards of conduct.
Monetary penalty—A monetary
penalty may be imposed on an individual
who engages in conduct subject to sanc-
tion or on an employer, firm, or entity
if the individual was acting on its behalf
and if it knew, or reasonably should have
known, of the individual’s conduct.
Disqualification of appraiser—An
appraiser who is disqualified is barred
from presenting evidence or testimony in
any administrative proceeding before the
Department of the Treasury or the IRS.
Under the regulations, attorneys, cer-
tified public accountants, enrolled agents,
enrolled actuaries, and enrolled retirement
plan agents may not assist, or accept assis-
tance from, individuals who are suspended
or disbarred with respect to matters consti-
tuting practice (i.e., representation) before
the IRS, and they may not aid or abet sus-
pended or disbarred individuals to practice
before the IRS.
Disciplinary sanctions are described in
these terms:
Disbarred by decision after hearing,
Suspended by decision after hearing,
Censured by decision after hearing,
Monetary penalty imposed after hear-
ing, and Disqualified after hearing—An
administrative law judge (ALJ) conducted
an evidentiary hearing upon OPR’s com-
plaint alleging violation of the regulations
and issued a decision imposing one of
these sanctions. After 30 days from the
issuance of the decision, in the absence of
an appeal, the ALJ’s decision became the
final agency decision.
Disbarred by default decision, Sus-
pended by default decision, Censured by
default decision, Monetary penalty im-
posed by default decision, and Disqual-
ified by default decision—An ALJ, after
findingthatnoanswertoOPR’scomplaint
had been filed, granted OPR’s motion for a
default judgment and issued a decision im-
posing one of these sanctions.
Disbarment by decision on appeal,
Suspended by decision on appeal, Cen-
sured by decision on appeal, Monetary
penalty imposed by decision on ap-
peal, and Disqualified by decision on
appeal—The decision of the ALJ was
appealed to the agency appeal authority,
acting as the delegate of the Secretary
of the Treasury, and the appeal authority
issued a decision imposing one of these
sanctions.
Disbarred by consent, Suspended by
consent, Censured by consent, Mone-
tary penalty imposed by consent, and
Disqualified by consent—In lieu of a
disciplinary proceeding being instituted
or continued, an individual offered a con-
sent to one of these sanctions and OPR
accepted the offer. Typically, an offer
of consent will provide for: suspension
for an indefinite term; conditions that the
individual must observe during the sus-
pension; and the individual’s opportunity,
after a stated number of months, to file
with OPR a petition for reinstatement af-
firming compliance with the terms of the
consent and affirming current eligibility
to practice (i.e., an active professional
license or active enrollment status). An
enrolled agent or an enrolled retirement
plan agent may also offer to resign in order
to avoid a disciplinary proceeding.
Suspended by decision in expedited
proceeding, Suspended by default de-
cision in expedited proceeding, Sus-
pended by consent in expedited pro-
ceeding—OPR instituted an expedited
proceeding for suspension (based on cer-
tain limited grounds, including loss of a
professional license and criminal convic-
tions).
OPR has authority to disclose the
grounds for disciplinary sanctions in these
situations: (1) an ALJ or the Secretary’s
delegate on appeal has issued a decision
on or after September 26, 2007, which was
theeffectivedateofamendmentstothe
regulations that permit making such deci-
sions publicly available; (2) the individual
has settled a disciplinary case by signing
OPR’s “consent to sanction” form, which
requires consenting individuals to admit to
one or more violations of the regulations
and to consent to the disclosure of the in-
dividual’s own return information related
to the admitted violations (for example,
failure to file Federal income tax returns);
or (3) OPR has issued a decision in an
expedited proceeding for suspension.
Announcements of disciplinary sanc-
tions appear in the Internal Revenue Bul-
letin at the earliest practicable date. The
sanctions announced below are alphabet-
ized first by the names of states and sec-
ond by the last names of individuals. Un-
less otherwise indicated, section numbers
(e.g., §10.51) refer to the regulations.

Definition of Terms
Revenue rulings and revenue procedures
(hereinafter referred to as “rulings”) that
have an effect on previous rulings use the
following defined terms to describe the ef-
fect:
Amplifieddescribes a situation where
no change is being made in a prior pub-
lished position, but the prior position is be-
ingextendedtoapplytoavariationofthe
fact situation set forth therein. Thus, if
an earlier ruling held that a principle ap-
plied to A, and the new ruling holds that the
same principle also applies to B, the earlier
ruling is amplified. (Compare withmodi-
fied,below).
Clarifiedis used in those instances
where the language in a prior ruling is be-
ing made clear because the language has
caused, or may cause, some confusion.
It is not used where a position in a prior
ruling is being changed.
Distinguisheddescribes a situation
where a ruling mentions a previously pub-
lished ruling and points out an essential
difference between them.
Modifiedis used where the substance
of a previously published position is being
changed. Thus, if a prior ruling held that a
principle applied to A but not to B, and the
new ruling holds that it applies to both A
and B, the prior ruling is modified because
it corrects a published position. (Compare
withamplifiedandclarified, above).
Obsoleteddescribes a previously pub-
lished ruling that is not considered deter-
minative with respect to future transac-
tions. This term is most commonly used in
a ruling that lists previously published rul-
ings that are obsoleted because of changes
in laws or regulations. A ruling may also
be obsoleted because the substance has
been included in regulations subsequently
adopted.
Revokeddescribes situations where the
position in the previously published ruling
is not correct and the correct position is
beingstatedinanewruling.
Supersededdescribes a situation where
the new ruling does nothing more than re-
state the substance and situation of a previ-
ously published ruling (or rulings). Thus,
the term is used to republish under the
1986 Code and regulations the same po-
sition published under the 1939 Code and
regulations. The term is also used when
it is desired to republish in a single rul-
ing a series of situations, names, etc., that
were previously published over a period of
time in separate rulings. If the new rul-
ing does more than restate the substance
of a prior ruling, a combination of terms
is used. For example,modifiedandsu-
persededdescribes a situation where the
substance of a previously published ruling
is being changed in part and is continued
without change in part and it is desired to
restate the valid portion of the previously
published ruling in a new ruling that is self
contained. In this case, the previously pub-
lished ruling is first modified and then, as
modified, is superseded.
Supplementedis used in situations in
which a list, such as a list of the names of
countries, is published in a ruling and that
list is expanded by adding further names in
subsequent rulings. After the original rul-
ing has been supplemented several times, a
new ruling may be published that includes
the list in the original ruling and the ad-
ditions, and supersedes all prior rulings in
the series.
Suspendedis used in rare situations to
show that the previous published rulings
will not be applied pending some future
action such as the issuance of new or
amended regulations, the outcome of cases
in litigation, or the outcome of a Service
study.
