Tenor

Die Beklagte wird verurteilt, zu erklären, dass sie die Aktien an der Klägerin mit den Nummern 0000 bis 0000 an die Klägerin überträgt und sämtliche Rechte aus diesen Aktien an die Klägerin abtritt, Zug-um-Zug gegen Zahlung von 1.300,00 Euro an die Beklagte.

Im übrigen wird die Klage abgewiesen.

Die Kosten des Rechtsstreits tragen die Klägerin zu 50 % und die Beklagte zu 50 %.

Das Urteil ist vorläufig vollstreckbar. Die jeweilige Vollstreckungsschuldnerin darf die Vollstreckung durch Sicherheitsleistung in Höhe von 110 % des aufgrund des Urteils gegen sie vollstreckbaren Betrages abwenden, wenn nicht die jeweilige Vollstreckungsgläubigerin vor der Vollstreckung Sicherheit in Höhe von 110 % des jeweils zu vollstreckenden Betrages leistet.
