Omnilex summary

The Zurich Commercial Court found that A._____ GmbH in liquidation suffered from a serious organizational defect because it had neither a Swiss-domiciled authorized representative nor a valid domicile. The court had given a deadline to cure the defect, but it expired unused. It therefore ordered the company dissolved and its liquidation to proceed under bankruptcy rules, entrusting the Konkursamt Illnau with execution. The defendant was ordered to pay the court fee of CHF 2,200 and to compensate the plaintiff with CHF 300 for expenses.

Omnilex headnote

Art. 731b Abs. 1 Ziff. 3 OR, Art. 819 OR; organizational defect of a GmbH and failure to cure within the set deadline: where a company lacks a Swiss-domiciled person authorized to represent it and no valid domicile exists, a serious organizational defect is established. If the defect is not remedied within the judicially fixed period, the court must order dissolution and liquidation according to bankruptcy rules. The consequence follows irrespective of the company's liquidation status when the defect persists. Costs are borne by the losing party under Art. 106 ZPO; the successful party may obtain reasonable expense compensation under Art. 95 Abs. 3 lit. c ZPO (consid. 1-3).
