The Zurich Commercial Court dealt with a suit by the cantonal commercial register office concerning an organizational defect in A._____ AG in liquidation. The company cured the defect during the proceedings by registering the missing audit-office arrangement, so the court struck the case off as moot. Although the matter became moot, the court held that the defendant had caused the proceedings and therefore had to pay the court fee of CHF 2,200 and an expense compensation of CHF 300 to the plaintiff. The court also noted the change of company name and domicile.
Art. 242 ZPO; mootness after cure of an organizational defect; costs where the defendant has caused the proceedings. If the organizational defect underlying a claim under corporate-organizational rules is remedied during the litigation, the action becomes moot and is struck off. Procedural costs are allocated ex aequo et bono under Art. 107 Abs. 1 lit. e ZPO. Where the defendant’s defective organization gave rise to the proceedings, the defendant may be charged with the court costs and ordered to reimburse the opposing party’s necessary expenses pursuant to Art. 95 Abs. 3 lit. c ZPO (consid. 1–2).

Rechtsbegehren: (act. 1) "Infolge Mängeln in der gesetzlich zwingend vorgeschriebenen Organi- sation der Gesuchsgegnerin seien die erforderlichen Massnahmen zu ergreifen; dies unter Kosten- und Entschädigungsfolge."
Der Einz elrichter zieht in Erwägung: 1. Am 15. Juni 2016 ging die Klage ein (act. 1). In jenem Zeitpunkt fehlte der Beklagten eine Regelung betreffend Revisionsstelle (act. 2/1). Nach der Mangel- behebung (Eintragung am 29. Juli 2016, act. 7) kann das vorliegende Verfahren zufolge Gegenstandslosigkeit abgeschrieben werden (Art. 242 ZPO). 2. Die Prozesskosten sind nach Ermessen zu verteilen (Art. 107 Abs. 1 lit. e ZPO). Die Beklagte hat die Ursache für die Einleitung des Verfahrens gesetzt. Deshalb sind ihr die Gerichtskosten aufzuerlegen und hat sie dem Kläger eine Umtriebsentschädigung zu zahlen (Art. 95 Abs. 3 lit. c ZPO). Der Streitwert be- trägt – wie schon früher mitgeteilt – mindestens CHF 30'000.00. Der Einz elrichter verfügt: 1. Von der Umfirmierung ("in Liquidation") und dem Wechsel des Domizils wird Vormerk genommen. 2. Das Verfahren wird zufolge Gegenstandslosigkeit abgeschrieben. 3. Die Gerichtsgebühr wird festgesetzt auf CHF 2'200.00. 4. Die Kosten werden der Beklagten auferlegt. 5. Die Beklagte wird verpflichtet, dem Kläger eine Umtriebsentschädigung von CHF 300.00 zu bezahlen.
