betreffend Organisationsmangel

Rechtsbegehren: (act. 1) "Infolge Mängeln in der gesetzlich zwingend vorgeschriebenen Organi- sation der Gesuchsgegnerin seien die erforderlichen Massnahmen zu ergreifen; dies unter Kosten- und Entschädigungsfolge."

Der Einz elrichter zieht in Erwägung: 1. Bei der Beklagten liegt ein schwerwiegender Organisationsmangel vor. Sie verfügt über − keine eingetragene vertretungsberechtigte Person mit Wohnsitz in der Schweiz (Art. 814 Abs. 3 und Abs. 6 OR), − kein gültiges Domizil. 2. Gestützt auf die Klage des Kantons Zürich (Handelsregisteramt) wurde der Beklagten Frist zur Behebung des Mangels angesetzt (Prot. S. 2). Die Frist verstrich ungenutzt. Androhungsgemäss ist die Beklagte aufzulösen und ihre Li- quidation nach den Vorschriften über den Konkurs anzuordnen (Art. 819 OR in Verbindung mit Art. 731b Abs. 1 Ziff. 3 OR). 3. Bei diesem Ausgang des Verfahrens wird die Beklagte kostenpflichtig (Art. 106 ZPO). Zudem hat sie dem Kläger für seine Bemühungen eine angemes- sene Umtriebsentschädigung zu bezahlen (Art. 95 Abs. 3 lit. c ZPO). Der Streit- wert ist auf mindestens CHF 30'000.00 zu beziffern. Der Einz elrichter erkennt: 1. Die Beklagte wird aufgelöst und ihre Liquidation nach den Vorschriften über den Konkurs angeordnet. 2. Das Konkursamt Dietikon wird mit dem Vollzug beauftragt.

  1. Die Gerichtsgebühr wird festgesetzt auf CHF 2'200.00. 4. Die Kosten werden der Beklagten auferlegt. 5. Die Beklagte wird verpflichtet, dem Kläger eine Umtriebsentschädigung von CHF 300.00 zu bezahlen. 6. Schriftliche Mitteilung an die Parteien (an die Beklagte durch Publikation im kantonalen Amtsblatt) sowie nach Eintritt der Rechtskraft an das Betrei- bungsamt Dietikon und unter Beilage der Einlegerakten des Klägers an das Konkursamt Dietikon. Das Konkursamt hat die Einlegerakten des Klägers zu behalten, oder – falls es sie nicht (mehr) benötigt – an das Handelsregisteramt weiterzuleiten. Sie sind dem Handelsgericht nur dann zu retournieren, wenn zufolge einer Wie- deraufnahme des Verfahrens eine entsprechende Aufforderung erfolgt. 7. Eine bundesrechtliche Beschwerde gegen diesen Entscheid ist innerhalb von 30 Tagen von der Zustellung an beim Schweizerischen Bundesgericht, 1000 Lausanne 14, einzureichen. Zulässigkeit und Form einer solchen Be- schwerde ri chten si ch nach Art. 72 ff. (Beschwerde in Zivilsachen) oder Art. 113 ff. (subsidiäre Verfassungsbeschwerde) in Verbindung mit Art. 42 und 90 ff. des Bundesgesetzes über das Bundesgericht (BGG). Der Streit- wert beträgt mindestens CHF 30'000.00.
