Omnilex summary

The Zurich Commercial Court found that A._____ AG suffered from a serious organizational deficiency because it had neither a lawful board nor a valid domicile. The court had previously set a deadline to remedy the defect, but the company took no action. It therefore ordered dissolution of the company and liquidation according to bankruptcy rules, appointed the bankruptcy office to execute the measure, and imposed court costs of CHF 2,200 on the defendant. The defendant was also ordered to pay the plaintiff CHF 300 as compensation for its efforts.

Omnilex headnote

Art. 731b Abs. 1 Ziff. 3 OR; organizational deficiency of a corporation remains uncured despite deadline set by the court; dissolution and liquidation in bankruptcy proceedings are mandatory. The measure presupposes a serious defect in the legally required organization, such as absence of a lawful board or valid domicile, and the court must proceed once the defect is not remedied within the fixed period. Costs follow the outcome under Art. 106 ZPO; the successful plaintiff may additionally receive reasonable compensation for necessary efforts under Art. 95 Abs. 3 lit. c ZPO. Considerations on the persistence of the defect and the ineffective expiry of the remedy period are decisive (consid. 1-3).
