Omnilex summary

The Zurich Commercial Court found that A._____ Holding AG suffered from a serious organizational defect because it had no lawful audit office, no registered waiver of the limited audit, and no Swiss-domiciled authorized representative. The period granted to remedy the defect expired unused. The court therefore ordered dissolution of the company and liquidation under bankruptcy rules, appointed the bankruptcy office in Zurich-Altstadt for execution, and imposed court costs and an expense compensation on the defendant.

Omnilex headnote

Art. 731b Abs. 1 Ziff. 3 OR; organizational defect of a company; dissolution and liquidation by bankruptcy rules. Where a company lacks mandatory organizational elements, in particular a lawful audit office or a valid waiver of the audit and a representative domiciled in Switzerland, the court must set a remedy period. If the defect is not cured within that period, dissolution and liquidation according to bankruptcy rules are ordered. Costs follow the outcome; the unsuccessful company bears the court costs and may be ordered to pay an appropriate expense compensation to the plaintiff (Art. 106 ZPO; Art. 95 Abs. 3 lit. c ZPO).

The company lacked a statutory audit office, a registered waiver of the limited audit, and a representative with Swiss domicile. After the remedy period expired without action, Art. 731b OR required dissolution and liquidation.

Key legal question

Who must bear the court costs and the plaintiff's compensation.

Extracted holding

The defendant must bear the court costs and pay the plaintiff an expense compensation of CHF 300.
