Omnilex summary

The Zurich Commercial Court found that the defendant company suffered a serious organizational defect because it had no lawful audit body, no registered waiver of limited audit, and no lawful board. The court had previously set a deadline to remedy the defect, but it expired unused. It therefore dissolved the company and ordered liquidation under bankruptcy rules. The Bankruptcy Office of Wetzikon was instructed to التنفيذ the liquidation. The defendant was ordered to pay the court fee of CHF 2,200 and an inconvenience compensation of CHF 300 to the plaintiff, the Zurich Commercial Register Office.

Art. 731b Abs. 1 Ziff. 3 OR; organizational defect of a company and judicial dissolution: if mandatory corporate organs are missing and the defect is not cured within the time limit set by the court, dissolution and liquidation according to bankruptcy rules must be ordered. Urteil vom 25. Juni 2014

in Sachen

Handelsregisteramt des Kantons Zürich, Kläger

gegen

A._____, Beklagte

betreffend Organisationsmangel

Rechtsbegehren: (act.

Sie verfügt über − keine gesetzmässige Revisionsstelle (Art. 727 ff.OR), − keinen eingetragenen Verzicht auf die (eingeschränkte) Revision (Art. 727a Abs. 2 OR), − keinen (gesetzmässigen) Verwaltungsrat (Art. 707 OR, Art. 718 OR). 2. Gestützt auf die Klage des Kantons Zürich (Handelsregisteramt) wurde der Beklagten Frist zur Behebung des Mangels angesetzt (Prot. S. 2). 3 OR). 3.
