A._____ GmbH, Beklagte

betreffend Organisationsmangel

Rechtsbegehren: (act. 1) "Infolge Mängeln in der gesetzlich zwingend vorgeschriebenen Organi- sation der Gesuchsgegnerin seien die erforderlichen Massnahmen zu ergreifen; dies unter Kosten- und Entschädigungsfolge."

Der Einzelrichter zieht in Erwägung: 1. Am 22. August 2012 ging die Klage ein (act. 1). In jenem Zeitpunkt fehlte der Beklagten eine Regelung betreffend Revisionsstelle (act. 2/1). Nach der Man- gelbehebung (Eintragung am 14. September 2012, act. 5) kann das vorliegende Verfahren zufolge Gegenstandslosigkeit abgeschrieben werden (Art. 242 ZPO). 2. Die Prozesskosten sind nach Ermessen zu verteilen (Art. 107 Abs. 1 lit. e ZPO). Die Beklagte hat die Ursache für die Einleitung des Verfahrens gesetzt. Deshalb sind ihr die Gerichtskosten aufzuerlegen und hat sie dem Kläger eine Umtriebsentschädigung zu zahlen (Art. 95 Abs. 3 lit. c ZPO). Der Streitwert be- trägt – wie schon früher mitgeteilt – mindestens CHF 30'000.00. Der Einzelrichter verfügt: 1. Das Verfahren wird zufolge Gegenstandslosigkeit abgeschrieben. 2. Die Gerichtsgebühr wird festgesetzt auf CHF 2'200.00. 3. Die Kosten werden der Beklagten auferlegt. 4. Die Beklagte wird verpflichtet, dem Kläger eine Umtriebsentschädigung von CHF 300.00 zu bezahlen. 5. Schriftliche Mitteilung an die Parteien, an die Beklagte unter Beilage einer Kopie von act. 5.

  1. Eine bundesrechtliche Beschwerde gegen diesen Entscheid ist innerhalb von 30 Tagen von der Zustellung an beim Schweizerischen Bundesgericht, 1000 Lausanne 14, einzureichen. Zulässigkeit und Form einer solchen Be- schwerde richten sich nach Art. 72 ff. (Beschwerde in Zivilsachen) oder Art. 113 ff. (subsidiäre Verfassungsbeschwerde) in Verbindung mit Art. 42 und 90 ff. des Bundesgesetzes über das Bundesgericht (BGG).
