Verfügung vom 30. November 2012

in Sachen

Kanton Zürich, Handelsregisteramt des Kantons Zürich, Kläger

gegen

A._____ GmbH in Liquidation, Beklagte

betreffend Organisationsmangel

Rechtsbegehren: (act.

Key legal question

Whether the proceedings should be struck off because the organizational defect was cured during the case.

Extracted holding

Because the defendant remedied the defect by registering the required Swiss management and representation arrangement, the proceedings became moot and were struck off.

Extracted reasoning

Once the missing organizational arrangement had been entered, there was no longer a live need for judicial measures under Art. 242 ZPO.

Key legal question

How procedural costs should be allocated after the case became moot.

Extracted holding

Costs were allocated to the defendant, and the defendant had to pay a party compensation of CHF 300.

Extracted reasoning

Under the court's discretion, the defendant caused the proceedings by its prior organizational defect, so it had to bear the court costs and reimburse the plaintiff's inconvenience.
