The Handelsgericht of Zurich dealt with an action concerning an organizational defect of A._____ AG. After the defect had been cured on 8 November 2012, the court treated the parties' conduct as an implicit request to restore the remedy period, set aside its earlier judgment of 5 June 2012, and struck the proceedings off as moot. Because the defendant had caused the filing of the case, it was ordered to pay the court fee of CHF 2,200 and an expense compensation of CHF 300 to the plaintiff.
Art. 242 ZPO; mootness after cure of an organizational defect; restoration of the time limit and cost allocation. If the organizational defect of a company is cured during pending proceedings, the case becomes moot and is to be struck off. The parties' conduct may be construed as an implicit request for restoration of the period to remedy the defect, which may be granted where the defect has in fact been eliminated (consid. 2-3). Costs are allocated at the court's discretion under Art. 107 Abs. 1 lit. e ZPO; where the defendant caused the proceedings by the defect, court costs and an expense compensation may be imposed on it pursuant to Art. 95 Abs. 3 lit. c ZPO (consid. 4).

Rechtsbegehren: (act. 1) "Infolge Mängeln in der gesetzlich zwingend vorgeschriebenen Organi- sation der Gesuchsgegnerin seien die erforderlichen Massnahmen zu ergreifen; dies unter Kosten- und Entschädigungsfolge."
Der Einzelrichter zieht in Erwägung: 1. Am 8. November 2011 ging die Klage ein (act. 1). In jenem Zeitpunkt fehl- te der Beklagten eine Regelung betreffend Verwaltungsrat und Domizil (act. 2/1). Gegen die säumige Beklagte erging am 5. Juni 2012 das Urteil (act. 7). 2. Am 8. November 2012 wurde der Mangel behoben. Im Vorgehen der Par- teien ist die sinngemässe Stellung eines Wiederherstellungsgesuches zu erbli- cken (vgl. zudem act. 8). Dieses kann gutgeheissen werden (vgl. auch ZR 111 Nr. 22). 3. Nach der Mangelbehebung kann das vorliegende Verfahren zufolge Ge- genstandslosigkeit abgeschrieben werden (Art. 242 ZPO). 4. Die Prozesskosten sind nach Ermessen zu verteilen (Art. 107 Abs. 1 lit. e ZPO). Die Beklagte hat die Ursache für die Einleitung des Verfahrens gesetzt. Deshalb sind ihr die Gerichtskosten aufzuerlegen und hat sie dem Kläger eine Umtriebsentschädigung zu zahlen (Art. 95 Abs. 3 lit. c ZPO). Der Streitwert be- trägt – wie schon früher mitgeteilt – mindestens CHF 30'000.00. Der Einzelrichter verfügt: 1. Das Urteil vom 5. Juni 2012 wird aufgehoben und die Frist zur Mangelbehe- bung wird wiederhergestellt. 2. Das Verfahren wird zufolge Gegenstandslosigkeit abgeschrieben.
