Omnilex summary

The decision concerns two tax appeals decided by the Administrative Court, Second Chamber, on 17 May 2001. In the excerpted headnotes, the court addresses retroactive taxation of hidden reserves upon conversion when § 20 Abs. 2 StG is not complied with, the tax treatment of a partial liquidation of an independent business segment, and correction of the temporal allocation of an annual tax on appeal. It also holds, in the heirs' case, that the former 1983 Tax Act still applied in full to tax years up to 2000, that a lease may be either definitive private withdrawal or merely provisional depending on the circumstances, and that capital gains on business real estate are subject to annual tax under § 34 Abs. 2 StG when the taxpayer dies before a full tax period can be taxed. Tax succession extends to that annual tax as well.

Omnilex headnote

§ 20 StG; § 34 Abs. 2 StG; transitional application of the 1983 Tax Act; tax succession: retroactive taxation upon failure to meet conversion conditions, treatment of partial liquidation, and annual tax after death. Hidden reserves transferred in a conversion remain tax-free only if the statutory conditions are satisfied; otherwise taxation takes effect retroactively at the conversion date. A partial liquidation of an independent business segment is to be treated like a liquidation. For tax years up to 2000, the 1983 Tax Act applies in full, including procedural provisions. Capital gains on business real estate are subject to annual tax where death prevents taxation over a full period; tax succession extends to such annual tax even if it arises from the death itself and is assessed only thereafter.

Key legal question

Whether hidden reserves transferred on conversion remain tax-free when the conditions of § 20 Abs. 2 StG are not met.

Extracted holding

If the statutory conditions are not complied with, taxation occurs retroactively as of the time of conversion.

Extracted reasoning

The court held that non-compliance with the conversion conditions defeats the tax-free treatment and triggers retroactive taxation.

Key legal question

Whether a partial liquidation of an independent business segment is to be treated like a liquidation for tax purposes.

Extracted holding

A partial liquidation of an independent business segment is treated in the same way as a liquidation.

Extracted reasoning

The court equated the tax treatment of a partial liquidation of a standalone business segment with that of a full liquidation.

Key legal question

Whether the temporal allocation of an annual tax may be corrected on appeal.

Extracted holding

The temporal allocation of the annual tax could be corrected in the appellate proceedings.

Extracted reasoning

The appellate court accepted that the annual-tax assessment could be adjusted as to the relevant tax period.

Key legal question

Whether the pre-2001 tax years remained governed in full by the 1983 Tax Act, including its procedural rules.

Extracted holding

For tax years up to 2000, the 1983 Tax Act remained fully applicable, including procedural provisions.

Extracted reasoning

The court applied the transitional rule and kept the earlier statute fully in force for those years.

Key legal question

Whether a lease constitutes a definitive private withdrawal or only a provisional lease bridging an uncertain state.

Extracted holding

The court examined whether the lease amounted to a definitive private withdrawal or merely a provisional lease bridging a transitional situation.

Extracted reasoning

The characterization depended on whether the lease was final or only temporary in nature during the unsettled period.

Key legal question

Whether a capital gain from the sale of business property is subject to annual tax when the taxpayer dies before a full tax period elapses.

Extracted holding

Such a capital gain is subject to annual tax under § 34 Abs. 2 StG when it is not taxed during a full tax period because of the taxpayer's death.

Extracted reasoning

The court treated the death-induced interruption of the tax period as triggering annual taxation of the realized capital gain.

Key legal question

Whether tax succession also covers annual tax under § 34 Abs. 2 StG even if the tax liability arises from the taxpayer's death and can only be assessed afterward.

Extracted holding

Tax succession also applies to annual tax under § 34 Abs. 2 StG, including when the tax arises from death and can only be assessed later.

Extracted reasoning

The court held that the heirs step into the taxpayer's position for this annual tax as well.
