Offset with a claim shall also satisfy the contribution requirement if the claim is no longer covered by assets.
The articles of association must indicate the amount of the claim being offset, the name of the shareholder and the shares that they have been issued. The general meeting may repeal the related provisions of the articles of association after ten years.
