The management authority granted to one of the partners under the partnership agreement may not be withdrawn or restricted by the other partners without good cause.
Where good cause exists, authority may be withdrawn by each of the other partners even where the partnership agreement provides otherwise.
In particular, good cause is deemed to exist where the managing partner is guilty of a serious breach of his duties or has become incapable of proper management of the partnership’s affairs.
