We ha ve a transaction where due to technical it i es under local laws of Argenti na , the acquirer delivered an executed
offer, attaching the unexecuted SPA, and se llers delivered an executed acceptance l etter indicati ng the ir acceptance of
the acqui rer' s offer letter . For the avoidance of doubt, the offer l etter is on ly executed by the acquirer, and the
acceptance l etter, w hich references the offer letter, is only executed by the se llers. We plan to include the executed
offer and acceptance letters along wi th the agreed upon but unexecuted Share Purchase Agreement for Item 3. Our
view is that th is is a sufficient basis for part ies to fi le but wanted to confirm you agree.
