Leitsatz

NV: Verstirbt der Liquidator einer Personengesellschaft, so wird ein gerichtlicher Rechtsstreit zwar nicht unterbrochen, wenn die Gesellschaft durch einen Prozessbevollmächtigten vertreten ist. Auf Antrag des Bevollmächtigten ist das Verfahren jedoch auszusetzen.

Tatbestand

1 I. Die Klägerin und Beschwerdeführerin (Klägerin) ist die X GmbH & Co. KG i.L. Einziger Liquidator war Herr Z, der --nach Einlegung der Nichtzulassungsbeschwerde-- am 3. Juni 2010 verstorben ist. Der Prozessbevollmächtigte der Klägerin beantragte daraufhin, den Rechtsstreit nach § 246 Abs. 1 Halbsatz 2 der Zivilprozessordnung (ZPO) i.V.m. § 155 der Finanzgerichtsordnung auszusetzen. Der Beklagte und Beschwerdegegner (das Finanzamt --FA--) hat sich dahin geäußert, dass aus seiner Sicht keine Bedenken gegen das Vorliegen der Voraussetzungen der §§ 246 Abs. 1 Halbsatz 2, 241 Abs. 1 Alternative 2 ZPO bestünden.

Entscheidungsgründe

Mit dem Tod des Z, der als einziger Liquidator gesetzlicher Vertreter der Klägerin war (§ 146 Abs. 1 i.V.m. § 161 Abs. 2 des Handelsgesetzbuchs), ist die Klägerin i.S. von § 241 Abs. 1 Alternative 2 ZPO prozessunfähig geworden. Zwar tritt gemäß § 246 Abs. 1 Halbsatz 1 ZPO keine Unterbrechung des Verfahrens ein, da die Klägerin durch einen Prozessbevollmächtigten vertreten ist. Aufgrund des Antrags des Prozessbevollmächtigten ist jedoch das Verfahren gemäß § 246 Abs. 1 Halbsatz 2 und Abs. 2 i.V.m. § 241 Abs. 1 ZPO auszusetzen, bis entweder für die Klägerin ein neuer Liquidator bestellt ist und dieser dem Senat von seiner Bestellung Anzeige macht oder das FA seine Absicht, das Verfahren fortzusetzen, dem Senat angezeigt und der Senat diese Anzeige von Amts wegen zugestellt hat.

3 Eine Kostenentscheidung ist nicht zu treffen, da die Entscheidung über die Aussetzung des Verfahrens ein unselbständiges Nebenverfahren ist (vgl. Gräber/Koch, Finanzgerichtsordnung, 6. Aufl., § 74 Rz 18).
