Resumo Omnilex

The Federal Constitutional Court did not admit the constitutional complaint against an order penalty for failure to disclose annual accounts. It held that the complaint was inadmissible because it was not adequately substantiated. In particular, the complainant failed to engage with the Court's established case law on the constitutionality of disclosure obligations under Section 325(1) HGB and with the reasoning of the challenged decision.

Sumário Omnilex

§ 23 Abs. 1 S. 2, § 92 BVerfGG; substantiation of a constitutional complaint; a complaint is inadmissible if it does not engage in a reasoned manner with the challenged decision and the relevant constitutional case law. The Court reiterates that disclosure duties under § 325 Abs. 1 HGB serve important public interests in market transparency and control of limited-liability companies and are, in principle, constitutionally justified (consid. 4). A mere assertion of violations of Arts. 2(1), 3, 12(1) and 14 GG without confronting this jurisprudence does not satisfy the pleading requirements.

Titelzeile

Whether the constitutional complaint was sufficiently substantiated to be admitted for decision.

Decisão extraída

No. The complaint did not meet the substantiation requirements of Sections 23(1) sentence 2 and 92 BVerfGG because it did not engage with the Federal Constitutional Court's relevant case law or the reasoning of the challenged decision.

Fundamentação extraída

The Court noted that it had repeatedly held that the disclosure requirements in Section 325(1) HGB, serving effective protection of commercial transactions and control possibilities, are constitutionally justified. The complainant, represented by counsel, failed to address this jurisprudence or the lower court's reasoning.
