Eine gesonderte verfassungsrechtliche Prüfung der Zurechnung nach § 278 BGB innerhalb des § 335 HGB erübrigt sich, wenn die angegriffene Entscheidung tragend auf eigenem Organisationsverschulden des Betroffenen beruht. § 335 Abs. 1 Satz 2 HGB ist verfassungsrechtlich bereits als unbedenklich anerkannt (vgl. BVerfG, 1 BvR 3413/08).

Gründe

1 Die Verfassungsbeschwerde ist nicht zur Entscheidung anzunehmen, weil die Voraussetzungen dafür nicht vorliegen (§ 93a Abs. 2 BVerfGG). Ihr kommt keine grundsätzliche verfassungsrechtliche Bedeutung zu. Ihre Annahme ist auch nicht zur Durchsetzung der Grundrechte oder grundrechtsgleichen Rechte der Beschwerdeführerin angezeigt; denn sie hat keine Aussicht auf Erfolg.

2 Die Verfassungsbeschwerde gibt insbesondere zu einer Stellungnahme keinen Anlass, ob die Zurechnung durch das Landgericht gemäß § 278 BGB innerhalb des § 335 HGB einer verfassungsrechtlichen Überprüfung standhielte (für eine analoge Anwendung des § 278 BGB vgl. LG Bonn, Beschluss vom 29. Oktober 2008 - 30 T 104/08 -, DStR 2009, S. 451 f., Gottschalk, FD-HGR 2008, 272704; Stollenwerk/Kurpat, BB 2009, S. 150 <152 f.>; Wolf, DStR 2009, S. 452; dagegen vgl. LG Bonn, Beschluss vom 7. Dezember 2009

  • 31 T 579/09 -, NJW-RR 2010, S. 698 <699>). Die Entscheidung des Landgerichts lässt mit ausreichender Deutlichkeit erkennen, es habe ein eigenes Organisationsverschulden des Liquidators der Beschwerdeführerin für entscheidungserheblich erachtet.

3 Dass § 335 Abs. 1 Satz 2 HGB vor dem Grundgesetz Bestand hat, lässt sich der Rechtsprechung des Bundesverfassungsgerichts bereits entnehmen (vgl. BVerfG, Beschluss der 3. Kammer des Ersten Senats vom 11. März 2009 - 1 BvR 3413/08 -, NJW 2009, S. 2588 <2589>).

4 Von einer weiteren Begründung wird nach § 93d Abs. 1 Satz 3 BVerfGG abgesehen.

5 Diese Entscheidung ist unanfechtbar.
