Resumo Omnilex

In this interlocutory notice, the Düsseldorf Local Court revised its previously expressed view and advised the parties that the defendant could not invoke a termination right. The contract validly required the defendant to pay in advance, and it had made no payments. Accordingly, the plaintiff was not yet obliged to perform, so the defendant could not complain that the plaintiff’s performance was defective. The court also advised that the requirements for avoidance under § 123 BGB had not yet been adequately pleaded and proven. Both parties were given two weeks to submit comments, and a further oral hearing was scheduled.

Sumário Omnilex

A party bound by an effective contractual advance-payment obligation cannot rely on defective performance by the counterparty where the advance payment has not been made and the counterparty’s duty to perform has therefore not yet arisen. In the absence of an obligation to perform, alleged defects in that performance cannot support the other party’s contractual termination position. A declaration of avoidance under § 123 BGB requires the relevant factual prerequisites to be sufficiently pleaded and proven; an unsupported pre-litigation declaration does not establish those prerequisites.

Tenor

Freitag, XX.XX.XXXX, 09:20 Uhr,

The defendant cannot rely on a termination right or alleged defects in the plaintiff’s performance because the plaintiff was not yet obliged to perform before the defendant made the required advance payment.

The contractual clause establishing the defendant’s advance-payment obligation is effective. Since the defendant made no payment, the plaintiff was not obliged to perform.

The requirements for avoidance have not yet been adequately pleaded and supported by evidence.

The court found the pre-litigation avoidance declaration insufficiently substantiated and proven on the record then before it.
