Resumo Omnilex

The Zurich Commercial Court found that A._____ GmbH had a serious organizational defect because it lacked both a Swiss-resident authorized representative and a valid domicile. The company did not remedy the defect within the deadline set after the Handelsregisteramt filed suit. The court therefore ordered dissolution and liquidation under bankruptcy rules, tasked the Konkursamt Feuerthalen with execution, and imposed court costs of CHF 2,200 plus an expense allowance of CHF 300 in favor of the plaintiff.

Sumário Omnilex

Art. 814 Abs. 3 and 6 OR; Art. 819 OR in connection with Art. 731b Abs. 1 Ziff. 3 OR; organizational defect of a company and dissolution: if a company lacks the mandatory organizational minimum, in particular no registered representative domiciled in Switzerland and no valid domicile, and the defect is not cured within the court-set time limit, the court must dissolve the company and order liquidation according to bankruptcy rules. The sanction follows upon expiry of the remedial period after warning; the court has no discretion to refrain from ordering the statutory consequence once the defect persists (consid. 1-2). Costs are borne by the losing party under Art. 106 ZPO, and the successful plaintiff may obtain reasonable compensation for necessary efforts under Art. 95 Abs. 3 lit. c ZPO (consid. 3).
