Resumo Omnilex

The Zurich Commercial Court dealt with an action by the cantonal commercial register office seeking measures due to an organizational defect of A._____ AG in liquidation. At filing, the company lacked a Swiss-resident representative and a valid domicile. After the defect was cured by registration on 22 March 2016, the court held that the case had become moot and struck the proceedings from the roll. Because the defendant had caused the filing of the action, it was ordered to pay the court fee of CHF 2,200 and an expense compensation of CHF 300 to the plaintiff.

Sumário Omnilex

Art. 242 ZPO; mootness after cure of an organizational defect; cost allocation under Art. 107 Abs. 1 lit. e ZPO and expense compensation under Art. 95 Abs. 3 lit. c ZPO. If the defect alleged in proceedings concerning corporate organization is remedied before judgment, the action loses its subject matter and is to be struck out as moot. For costs, the court may depart from the ordinary rule and allocate them according to discretion where a party’s conduct caused the proceedings to be initiated; the triggering party may also be ordered to compensate the opposing party’s outlays for inconvenience.
