Resumo Omnilex

The Commercial Court of the Canton of Zurich found that A._____ AG had a serious organizational defect because it had no lawful board of directors. The plaintiff, the Canton of Zurich acting through the commercial register office, had granted a deadline to remedy the defect, but the company did nothing. The court therefore ordered dissolution of the company and liquidation under bankruptcy rules, assigned execution to the Bassersdorf bankruptcy office, and charged the company with court costs and an expense compensation to the plaintiff.

Sumário Omnilex

Art. 731b Abs. 1 Ziff. 3 OR; dissolution of a company for organizational defect after unsuccessful deadline to remedy the defect. If a corporation lacks a legally constituted board of directors and fails to cure the defect within the court-set time limit, the court must dissolve it and order liquidation according to bankruptcy rules. The measure is mandatory once the defect persists after the deadline. Costs follow the outcome under Art. 106 ZPO; the prevailing party may be awarded appropriate compensation for expenses under Art. 95 Abs. 3 lit. c ZPO.

A._____ AG, Beklagte

betreffend Organisationsmangel

Rechtsbegehren: (act.

Sie verfügt über keinen (gesetzmässigen) Verwaltungsrat (Art. 707 OR, Art. 718 OR). 2. Gestützt auf die Klage des Kantons Zürich (Handelsregisteramt) wurde der Beklagten Frist zur Behebung des Mangels angesetzt (Prot. S. 2). 3 OR). 3.
