Rottenstein, director of a bankrupt joint-stock company, challenged a bankruptcy summons to appear and provide information under Art. 229 SchKG. He argued that the provision did not apply to legal persons and, subsidiarily, that he was only an employee, not a statutory organ. The Federal Court held that Art. 229 SchKG also applies in bankruptcy of legal persons and that the company's organs stand in for the debtor. Because the statutes expressly listed the director as an organ and assigned him management functions, he was obliged to appear and answer questions. The appeal was dismissed.
Art. 229 SchKG; applicability to legal persons and scope of the presence and information duty of corporate organs in bankruptcy. Art. 229 SchKG applies, by rational interpretation, also in bankruptcy proceedings concerning legal persons, except for the provisions specifically referring to the debtor’s family. The debtor is then replaced by the organs of the legal person, since they are the persons who acted for it before bankruptcy and can alone provide relevant information about its business conduct and assets. A director named in the statutes as an organ and entrusted with immediate management is not a mere employee; he is subject to the presence and information duty like the other organs, irrespective of whether he belongs to the mandatory statutory organs under company law. The review of the Federal Court under Art. 19 SchKG does not extend to the appropriateness of the summons, only to legality.
hat Rottenstein rechtzeitig und formrichtig an das Bundesgericht rekurriert, mit dem Begehren um Aufhebung der Vorladung. dieses Begehren wird damit motiviert, daß Art. 229 SchKG auf juristische Personen nicht anwendbar sei; eventuell sei der Direktor, wenn er auch in den Statuten unter den Organen der Gesellschaft aufgeführt sei, doch nicht zu den gesetzlich vorgesehenen Organen derselben zu zählen und daher in Bezug auf die Aus kunftspflicht nicht anders zu behandeln, als irgendwelche unterge ordnete Angestellte der Gesellschaft.
