8 CAR § 291-101. Name.

The name of the regional solid waste management district is Southeast Arkansas Regional Solid Waste Management District.

8 CAR § 291-102 Authority {#sec-8-car-291-102 omnilex-key=us-ar-regs-official--title-8-part-291--8 CAR § 291-102}

8 CAR § 291-102. Authority.

(a) The Southeast Arkansas Regional Solid Waste Management District was created in July, 1989, pursuant to the provisions of Arkansas Code § 8-6-707 and Arkansas Pollution Control and Ecology Commission, Solid Waste Management Rules, 8 CAR pt. 60.

(b) The district shall continue to exist until dissolved by unanimous decision of the Board of Directors of the Southeast Arkansas Regional Solid Waste Management District or pursuant to a procedure otherwise authorized by law.

8 CAR § 291-103. Purpose.

The purpose of the Southeast Arkansas Regional Solid Waste Management District is the protection of the public health and the environment through regional planning and the development and implementation of a solid waste management system.

8 CAR § 291-104 Jurisdictional boundaries {#sec-8-car-291-104 omnilex-key=us-ar-regs-official--title-8-part-291--8 CAR § 291-104}

8 CAR § 291-104. Jurisdictional boundaries.

The Southeast Arkansas Regional Solid Waste Management District includes the counties of:

(1) Arkansas;

(2) Ashley;

(3) Bradley;

(4) Chicot;

(5) Cleveland;

(6) Desha;

(7) Drew;

(8) Grant;

(9) Jefferson; and

(10) Lincoln.

8 CAR § 291-201. Board of directors.

(a) The Southeast Arkansas Regional Solid Waste Management District shall be governed by the Board of Directors of the Southeast Arkansas Regional Solid Waste Management District.

(b) The board shall plan for and oversee the operations, finances, and polices of the district and shall have all powers and duties as provided and authorized by state law and this part.

8 CAR § 291-202. Officers.

(a)(1) The general officers of the Board of Directors of the Southeast Arkansas Regional Solid Waste Management District shall consist of a:

(A) Chair;

(B) Vice chair;

(D) Treasurer.

(2) Officers shall serve one-year terms beginning July 1.

(3) Officers shall retain their duties until:

(A) They resign; or

(B) A replacement has been elected by the board.

(4) In the discretion of the board, any two (2) or more offices may be held by the same person, except the chair may not hold any other office concurrently.

(b) Chair.

(1) The chair shall:

(A) Preside at all meetings of the board; and

(B) Advise with the other officers of the board on matters of policy.

(2) He or she shall have other powers and perform other such duties as:

(A) May be incidental to his or her office;

(B) Given to him or her by these bylaws; or

(1) In the absence of the chair, the vice chair shall act as chair.

(2) In addition, the vice chair shall serve as parliamentarian for the board.

(d) Secretary. The secretary shall:

(1) Keep or cause to be kept minutes of the proceedings of the board in appropriate books provided for that purpose;

(2) See that all notices are duly given as required by the board; and

(3) Perform such other duties as may be assigned or delegated by the chair or board.

(e) Treasurer.

(1) The treasurer shall have general charge and custody and be responsible for all funds of the board, deposit or cause to be deposited all moneys received, in the name of the board, in such banks or other depositaries as may be designated by the board.

(2) The treasurer shall keep or cause to be kept correct and complete books and records of account and perform all such other duties as may be assigned to him or her by the board.

8 CAR § 291-203. Executive committee.

(a) The executive committee shall consist of the officers of the Board of Directors of the Southeast Arkansas Regional Solid Waste Management District.

(b) The chair of the board shall be the chair of the executive committee.

(c)(1) Three (3) members of the executive committee present in person or represented by proxy shall constitute a quorum.

(2) All proxies shall be:

(A) In writing; and

(B) Filed with the chair prior to or at the time of the meeting.

(3) A majority vote of those members present in person or represented by proxy shall be required for any action of the executive committee.

(4) The executive committee may act on behalf of the board between the regularly scheduled meetings of the board.

(5) Such action by the executive committee shall:

(A) Be reported to the board; and

(B) Have the effect of the board until rescinded by the board.

The chair shall have the authority to appoint committees as the need arises.

8 CAR § 291-205. Membership.

Except as otherwise permitted in Arkansas Code § 8-6-703(b)(2), the membership of the Board of Directors of the Southeast Arkansas Regional Solid Waste Management District will consist of the:

(1) County judge of each county within the Southeast Arkansas Regional Solid Waste Management District;

(2) Mayors of each first-class city within the district;

(3) Mayors of each city within the district which is a county seat; and

(4) Mayors of each city within the district with a population of two thousand (2,000) or more.

8 CAR § 291-301. Meetings.

(a)(1) Regular meetings of the Board of Directors of the Southeast Arkansas Regional Solid Waste Management District will be held as determined by the board.

(2) The meeting date, place, and time shall be:

(A) Determined by the director; and

(B) Held at a place and time reasonably accessible to all board members.

(3) Meeting dates may be delayed or changed by the:

(A) Director;

(B) Board; or

(b) Special meetings of the board may be called at any time by:

(1) The chair;

(2) The director;

(3) Resolution of the board; or

(4) A majority of the executive committee.

(d) Written notice of regular and special board meetings shall be given personally or by mail to each member of record not less than two (2) days nor more than sixty (60) days prior to the meeting.

8 CAR § 291-302. Voting and quorum.

(a) Each member of the Board of Directors of the Southeast Arkansas Regional Solid Waste Management District shall have one (1) vote.

(b) A majority of the board members, present in person or represented by proxy, shall constitute a quorum.

(c)(1) All proxies shall be:

(A) In writing; and

(B) Filed with the secretary prior to or at the time of the meeting.

(2) Proxies shall only be valid for the specific meeting or agenda item designated therein.

(d) A majority vote of those board members present in person or represented by proxy shall be required for any action of the board.

8 CAR § 291-303. Amendment of bylaws.

(a) These bylaws may be adopted, amended, or repealed at any meeting of the Board of Directors of the Southeast Arkansas Regional Solid Waste Management District by a majority vote of at least two-thirds (2/3) of board members present or represented by proxy.

(b) Written notice of proposed changes to the bylaws must be sent to board members not less than seven (7) days or more than sixty (60) days prior to the meeting at which the action is to be voted upon.

8 CAR § 291-304. Parliamentary procedure.

Robert’s Rules of Order shall govern all meetings of the Board of Directors of the Southeast Arkansas Regional Solid Waste Management District and executive committee.
