Leitsatz

NV: Die Nichtzulassungsbeschwerde einer GmbH i.L., deren Liquidator das Amt niedergelegt hat, ist unzulässig .

Tenor

Die Beschwerde der Klägerin wegen Nichtzulassung der Revision gegen das Urteil des Thüringer Finanzgerichts vom 1. September 2015 2 K 6/14 wird als unzulässig verworfen.

Die Kosten des Beschwerdeverfahrens hat die Klägerin zu tragen.

Gründe

1 1. Die Nichtzulassungsbeschwerde ist unzulässig, da die Klägerin und Beschwerdeführerin (Klägerin) nicht prozessfähig ist, nachdem ihr Liquidator zum 31. August 2015, d.h. vor Einlegung der Beschwerde am 23. September 2015, sein Amt niedergelegt hat. Dem steht nicht entgegen, dass die Amtsniederlegung entgegen § 67 Abs. 1 des Gesetzes betreffend die Gesellschaften mit beschränkter Haftung noch nicht im Handelsregister eingetragen ist. Denn die Eintragung wirkt nur deklaratorisch (Haas in Baumbach/Hueck, GmbHG, 20. Aufl., § 67 Rz 16, m.w.N.). Die Folgen einer unterlassenen Eintragung regelt § 15 des Handelsgesetzbuchs (HGB). Gemäß § 15 Abs. 1 HGB kann der Anmeldepflichtige --vorliegend die Klägerin-- einem gutgläubigen Dritten die Amtsniederlegung des Liquidators nicht entgegenhalten. Die Publizitätswirkung des § 15 Abs. 1 HGB wirkt zu Lasten desjenigen, in dessen Angelegenheiten die jeweilige Tatsache --vorliegend die Amtsniederlegung-- einzutragen war, geschützt wird der redliche Dritte (Preuß in Oetker, HGB, 4. Aufl., § 15 Rz 22, 24, m.w.N.). In diesem Sinne redlicher Dritte ist aber nicht die Klägerin, um deren eigene Vertretung es geht.

2 2. Die Beschwerde hätte auch in der Sache keinen Erfolg. Insbesondere hat die fachkundig vertretene Klägerin mit Schreiben vom 1. Juli 2015 eindeutig, bedingungslos und uneingeschränkt die Hauptsache für erledigt erklärt. Dass sie dieser Erklärung eine Begründung beigefügt hat, bedeutet keine bedingte Erklärung (§ 133 des Bürgerlichen Gesetzbuchs analog). Die Erledigungserklärung der Klägerin wurde mit der Erledigungserklärung des Beklagten und Beschwerdegegners (Finanzamt) im Telefax vom 30. Juli 2015 an das Finanzgericht (FG) unwiderruflich. Daran ändert die Erklärung der Klägerin im Telefax vom 31. Juli 2015 an das FG, hinsichtlich des Bescheids über Lohnsteuer für 06/2012 werde das Verfahren fortgesetzt, nichts.

3 Im Übrigen wird auf eine Begründung gemäß § 116 Abs. 5 Satz 2 2. Halbsatz der Finanzgerichtsordnung (FGO) verzichtet.

4 3. Die Kostenentscheidung beruht auf § 135 Abs. 2 FGO.
