The applicant sought entry and publication of a GmbH shareholder list dated 26 February 2014, which was prepared again and electronically filed on 18 March 2014. The Bonn District Court rejected the application, holding that a testamentary executor notation may not be included in a GmbH shareholder list under GmbHG § 40(1), first sentence.
GmbHG § 40 Abs. 1 Satz 1; admissibility of a testamentary executor notation in a GmbH shareholder list. A notation identifying an executor of a will is not permissible in the shareholder list of a GmbH. The application to enter and publish a list containing such a notation must therefore be rejected.
