Whether the sale of all shares in an operating company constituted an economic transfer of land subject to property gains tax.
The share sale did not amount to an economic transfer of land because the company was, at the relevant time, an operating company and no exceptional circumstances justified treating the transaction like a land transfer.
Art. 12(2)(a) StHG must be interpreted restrictively for legal-certainty reasons. A taxable economic transfer normally requires the transfer of the totality or majority of shares in a company already qualifying as a real estate company. Here, the company was operating the care home until the sale; the business was not liquidated or abandoned, and the transaction transferred a functioning business, not only the property. The exceptional-case doctrine for operating companies did not apply.
