Résumé Omnilex

The Zurich Commercial Court, in first instance, upheld the Handelsregisteramt's application concerning an organizational defect of A._____ GmbH. The court found that the company had no management and no valid domicile, that the cure period had expired unused, and therefore ordered dissolution and liquidation under bankruptcy rules. It also allocated the court fee of CHF 2,200 to the defendant and ordered it to pay CHF 300 in compensation to the plaintiff. The bankruptcy office Winterthur-Altstadt was instructed to execute the liquidation.

Regeste Omnilex

Art. 731b Abs. 1 Ziff. 3 OR, Art. 819 OR; organizational defect of a company: if mandatory organizational requirements are missing and the defect is not remedied within the court-set period, the court shall dissolve the company and order liquidation according to bankruptcy rules. The measure is mandatory once the defect persists after due notice and deadline; the court need not resort to milder measures where the prerequisites for dissolution are met (consid. 1-2). Costs follow the outcome under Art. 106 ZPO; the successful plaintiff may additionally be awarded reasonable out-of-pocket compensation under Art. 95 Abs. 3 lit. c ZPO (consid. 3).
