Résumé Omnilex

The Zurich Commercial Court dealt with a suit by the cantonal commercial register office concerning an organizational defect in A._____ AG in liquidation. The company cured the defect during the proceedings by registering the missing audit-office arrangement, so the court struck the case off as moot. Although the matter became moot, the court held that the defendant had caused the proceedings and therefore had to pay the court fee of CHF 2,200 and an expense compensation of CHF 300 to the plaintiff. The court also noted the change of company name and domicile.

Regeste Omnilex

Art. 242 ZPO; mootness after cure of an organizational defect; costs where the defendant has caused the proceedings. If the organizational defect underlying a claim under corporate-organizational rules is remedied during the litigation, the action becomes moot and is struck off. Procedural costs are allocated ex aequo et bono under Art. 107 Abs. 1 lit. e ZPO. Where the defendant’s defective organization gave rise to the proceedings, the defendant may be charged with the court costs and ordered to reimburse the opposing party’s necessary expenses pursuant to Art. 95 Abs. 3 lit. c ZPO (consid. 1–2).

A._____ AG in Liquidation, Beklagte

betreffend Organisationsmangel

Rechtsbegehren: (act.

Question juridique clé

Whether the proceedings should be discontinued as moot after the organizational defect was cured

Solution extraite

Yes. Because the defect was remedied during the proceedings, the case had become moot and was struck off.

Motifs extraits

At filing, the defendant lacked a legally required audit office arrangement. After the subsequent registration curing the defect, there was no longer a live dispute requiring measures under the organizational-defect rules.

Question juridique clé

How to allocate procedural costs after mootness

Solution extraite

The defendant bears the court fee and must pay an out-of-pocket compensation to the plaintiff.

Motifs extraits

Costs were allocated in equity because the defendant caused the proceedings to be initiated by its defective organization.
