Résumé Omnilex

The Zurich Commercial Court dealt with a suit by the cantonal commercial register office concerning an organizational defect of A._____ GmbH in liquidation. After the missing revision-office arrangement was entered in the commercial register on 21 August 2012, the court held that the matter had become moot and struck the case off. Because the defendant had caused the proceedings by failing to remedy the defect earlier, it was ordered to pay the court fee of CHF 2,200 and an expense compensation of CHF 300 to the plaintiff.

Regeste Omnilex

Art. 242 ZPO; mootness after remedy of the defect in dispute. If, during proceedings concerning an organizational defect, the mandatory deficiency is cured, the action becomes devoid of object and is to be struck off. Costs are allocated in equity under Art. 107 Abs. 1 lit. e ZPO; where the defendant gave rise to the proceedings by creating the defect, it bears the court costs and owes compensation for expenses under Art. 95 Abs. 3 lit. c ZPO.

Verfügung vom 27. November 2012

in Sachen

Kanton Zürich, Handelsregisteramt des Kantons Zürich, Kläger

gegen

A._____ GmbH in Liquidation, Beklagte

betreffend Organisationsmangel

Rechtsbegehren: (act.

Question juridique clé

Whether the action concerning the organizational defect should be struck off as moot after the defect was cured.

Solution extraite

Yes. Because the missing revision office arrangement was remedied during the proceedings, the case had become moot and had to be discontinued.

Motifs extraits

At the time of filing, the defendant lacked a mandatory organizational element. After the subsequent registration curing the defect, there was no longer a live dispute, so the proceeding could be closed under mootness rules.

Question juridique clé

How the procedural costs should be allocated after mootness.

Solution extraite

The defendant had to bear the court costs and pay the plaintiff compensation for expenses.

Motifs extraits

Cost allocation was made in equity. Since the defendant caused the proceedings by creating the defect that led to the action, the costs and an expense compensation were imposed on it.
