The Zurich Commercial Court dealt with a claim by the cantonal commercial register office for measures due to an organizational defect in A._____ GmbH. After the defendant cured the defect, it requested restoration of the deadline for remedying the defect. With no objections from the plaintiff or the bankruptcy office, the court granted the request, set aside the earlier default judgment of 2012-04-24, and discontinued the case as moot. The defendant was ordered to bear the court fee of CHF 2,200 and to pay CHF 300 as expense compensation to the plaintiff.
Art. 242 ZPO; effect of curing an organizational defect after suit has been filed: if the defect is remedied during the proceedings, the action becomes moot and is to be struck from the docket. A late cure may justify restoration of the deadline where the circumstances so permit and no objections are raised. Costs are allocated ex aequo et bono under Art. 107 Abs. 1 lit. e ZPO; the party causing the proceedings to be initiated may be charged with court costs and expense compensation under Art. 95 Abs. 3 lit. c ZPO.

Rechtsbegehren: (act. 1) "Infolge Mängeln in der gesetzlich zwingend vorgeschriebenen Organi- sation der Gesuchsgegnerin seien die erforderlichen Massnahmen zu ergreifen; dies unter Kosten- und Entschädigungsfolge."
Der Einzelrichter zieht in Erwägung: 1. Am 4. November 2011 ging die Klage ein (act. 1). In jenem Zeitpunkt fehl- te der Beklagten eine Regelung betreffend Revisionsstelle und Vorsitz der Ge- schäftsführung (act. 2/1). Gegen die säumige Beklagte erging am 24. April 2012 das Urteil (act. 4). 2. Am 4. September 2012 stellte die Beklagte ein Gesuch betreffend Wie- derherstellung der Frist zur Mangelbehebung (act. 10). Kläger und Konkursamt erhoben keine Einwendungen. Am 19. November 2012 wurde der Mangel beho- ben (act. 20). Das Wiederherstellungsgesuch kann gutgeheissen werden (vgl. auch ZR 111 Nr. 22). 3. Nach der Mangelbehebung kann das vorliegende Verfahren zufolge Ge- genstandslosigkeit abgeschrieben werden (Art. 242 ZPO). 4. Die Prozesskosten sind nach Ermessen zu verteilen (Art. 107 Abs. 1 lit. e ZPO). Die Beklagte hat die Ursache für die Einleitung des Verfahrens gesetzt. Deshalb sind ihr die Gerichtskosten aufzuerlegen und hat sie dem Kläger eine Umtriebsentschädigung zu zahlen (Art. 95 Abs. 3 lit. c ZPO). Der Streitwert be- trägt – wie schon früher mitgeteilt – mindestens CHF 30'000.00. Der Einzelrichter verfügt: 1. Das Urteil vom 24. April 2012 wird aufgehoben und die Frist zur Mangelbe- hebung wird wiederhergestellt.
