The court held that claims of the Landwirtschaftliche Kreditkasse are not assignable. Even though neither the IBG nor any other statute excludes transfer, and no contractual exclusion was agreed, the claims are so closely linked to the identity of the creditor that an assignment would alter the content of the claim. The objection based on Art. 164 OR therefore failed.

Gemäss Art. 164 OR können Forderungen nur abgetreten werden, soweit nicht Gesetz, Vereinbarung oder Natur des Rechtsverhältnisses entgegenstehen. Zwar schliesst weder das Bundesgesetz über Investitionskredite und Betriebshilfe in der Landwirtschaft (IBG) noch ein anderes Gesetz die Übertragbarkeit von Forderungen der Landwirtschaftlichen Kreditkasse aus. Auch wurde ein Ausschluss der Abtretbarkeit nicht durch die beteiligten Parteien vereinbart. Hingegen sind Forderungen der Landwirtschaftlichen Kreditkasse derart mit der Person des Gläubigers verbunden, dass der Gläubigerwechsel faktisch zu einer Änderung des Forderungsinhaltes führen würde (vgl. Gauch/Schluep, Schweizerisches Obligationenrecht, Allg. Teil, 5. Aufl., Zürich 1991, N 3563). Es ist daher davon auszugehen, dass Forderungen der Landwirtschaftlichen Kreditkasse aufgrund der besonderen Natur des Rechtsverhältnisses nicht abgetreten werden können.
