Résumé

The court held that, to the extent shareholder interest can be assessed in this context, it is the collective interest of all shareholders. Its content is defined by the majority. In the case at hand, there was no indication that the majority had abused this power or misconstrued that interest.

Shareholder interest, where relevant in the corporate context, is to be understood as the common interest of all shareholders; its concrete content is determined by the majority. Absent concrete indications of abuse, a court will not interfere with the majority’s assessment of that interest.

Soweit in diesem Rahmen das Interesse der Aktionäre veranschlagt werden kann, muss es das Interesse aller zusammen sein; was dieses Interesse darstellt, sagt aber die Mehrheit. Dafür, dass im vorliegenden Fall diese Mehrheit das Interesse missbräuchlich verstanden habe, fehlt jeder Anhaltspunkt.
