If the bidder purported to act for a third party, the offer binds the principal only if the representative was empowered to bid or if the principal subsequently ratifies the act. In the absence of authority and ratification, the award is voidable as lacking a civil-law basis and may be invoked by the principal without regard to the time limit of Art. 136 bis SchKG, since that provision assumes an already legally relevant offer. Debt-enforcement authorities cannot confer legal effect on a nonexistent or legally irrelevant will contrary to civil law (consid. 9).

Voraussetzung eines gültigen Zuschlages ist ein verbindliches Angebot. Hat der Bieter als Vertreter eines Dritten gehandelt, so ist das Angebot für den Dritten nur verbindlich, wenn der Vertreter zum Bieten bevollmächtigt war (Art. 32 OR). Fehlte diese Vollmacht und wird das Angebot auch nicht nachträglich vom Vertretenen genehmigt, so ist der Zuschlag ungültig. Und zwar muss dieser Mangel vom Vertretenen nicht nur innert der Frist des Art. 136 bis SchKG (diese Bestimmung setzt bereits ein rechtlich erhebliches Angebot des Ersteigerers voraus), sondern jederzeit geltend gemacht werden können: Das Bundesgericht hat schon in BGE 53 III la entschieden, dass der auf das Angebot einer wegen Urteilsunfähigkeit handlungsunfähigen Person erteilte Zuschlag jederzeit angefochten werden könne. Nicht anders kann aber geurteilt werden, wenn derjenige, welchem zugeschlagen wurde, weder selbst geboten noch einen Vertreter hiezu bevollmächtigt hat; denn weder einem rechtlich nicht beachtbaren noch einem überhaupt nicht vorhandenen Willen kann durch betreibungsamtliche Verfügung entgegen den Vorschriften des Zivilrechtes Rechtswirkung verschafft werden. Die Vorinstanzen haben es daher zu Unrecht abgelehnt, die Beschwerde materiell zu behandeln. Von einer Rückweisung kann indessen abgesehen werden, da die Akten bereits spruchreif sind.
