The plaintiffs appealed a St. Gallen cantonal judgment dismissing their action for damages based on alleged credit injury. They argued that the defendants had circulated very unfavorable information about them. The Federal Court held that civil liability under Art. 50 OR was not established because no economic damage was made credible and the defendants had only communicated the information internally to their agent for legitimate business caution. If the agent passed the information on to third parties, he acted beyond instructions and alone would be responsible. The appeal was dismissed and the cantonal judgment confirmed.
Art. 50 O.R.; damages for credit injury require not only an unlawful act but also a credible causal economic loss. A merchant may gather business information and instruct its agent accordingly; internal communication of such information to the agent, for the purpose of deciding whether to continue business relations, is not unlawful. If the agent discloses the information to third parties without authorization, that conduct is attributable to him alone and cannot be imputed to the principal absent proof of disclosure or fault. The mere unfavorable tenor of information does not suffice to ground compensation (consid. 2).
seinem Hause gewordenen Nachrichten weiter verbreitet, so ist er über den ihm erteilten Auftrag hinausgegangen und es können die Beklagten dafür nicht verantwortlich gemacht werden. Die Be klagten durften auf Diskretion seitens ihres Agenten rechnen, wenn dieser unbefugterweise Mitteilungen an Dritte gemacht hat, so ist er dafür persönlich verantwortlich. Den Beklagten können derartige Mitteilungen des Agenten nicht zum Verschulden ange rechnet werden. Demnach hat das Bundesgericht erkannt: Die Weiterziehung der Kläger wird als unbegründet abgewie sen und es hat demnach in allen Teilen bei dem angefochtenen Urteile des Kantonsgerichtes des Kantons St. Gallen vom 17. Februar 1893 sein Bewenden.
