Omnilex-Zusammenfassung

The Federal Administrative Court upheld the complainants' complaint against the refusal to admit revision. It found that the case has fundamental significance because revision must clarify whether supervisory board members of a municipality-participated GmbH, elected on the municipality's proposal, may be subject to instructions and whether such instruction-binding is compatible with company law, in particular Section 52 GmbHG.

Omnilex-Regeste

§ 132 Abs. 2 Nr. 1 VwGO; complaint against denial of leave to appeal; fundamental significance exists where a revisable legal question is in need of clarification for the appellate proceedings. A question is capable of conferring fundamental significance if it concerns the compatibility of municipal instruction-binding of supervisory board members in a municipality-participated GmbH with company law, especially § 52 GmbHG, and has not yet been clarified in supreme court case law.
