Interpretation of documents for construction cleaning contract

BGH VII ZR 113/11Bgh / Civil Chamber 723.05.2012Dismissed

Omnilex-Zusammenfassung

The Federal Court of Justice dismissed the defendant’s complaint against the refusal to admit revision. Although the panel noted doubts about the appellate court’s assessment, it considered that the file materials likely supported a lump-sum agreement for preliminary and final cleaning including glass cleaning at EUR 38,500. The optional hourly-rate position appeared to concern only additional services. Nevertheless, these observations did not establish a ground for admitting revision because the complaint did not sufficiently present such a ground. The defendant was ordered to bear the costs of the complaint proceedings.

Omnilex-Regeste

§ 544 Abs. 2, Abs. 4 Satz 2 ZPO; admission of revision against denial of leave to appeal requires a substantiated statutory ground; mere doubts about the merits do not suffice. The Federal Court of Justice examines whether the complaint itself shows a ground for admission. Even if the court harbours reservations about the reasoning of the appellate judgment, revision is not to be admitted when those reservations are not supported by the appellant’s submissions and would not further the clarification of the conditions for admission. Where contract interpretation is concerned, documents may, in principle, indicate a definite lump-sum agreement for the scope of services, including ancillary or optional items, but this does not by itself open the door to revision.

Zustandekommen eines Vertrages über Baureinigung: Auslegung der vorhandenen Unterlagen

Tenor

Halbsatz ZPO).

Kernrechtsfrage

Whether the materials showed a sufficiently definite agreement on the scope of construction-cleaning services and the price

Extrahierter Entscheid

The court expressed doubts about the appellate court's view; the documents likely indicated an agreement on preliminary cleaning and final cleaning including glass cleaning for a lump sum of EUR 38,500, but this did not justify admission of the revision.

Extrahierte Begründung

The calculation documents and annexes suggested one lump-sum contract position for gross and final cleaning, with optional additional services separately listed; there were no indications of multiple cleaning agreements.

Kernrechtsfrage

Whether the complaint demonstrated a ground for admitting revision

Extrahierter Entscheid

No admissible ground for leave to appeal was shown.

Extrahierte Begründung

Even if the panel had reservations about the appellate reasoning, those concerns were not based on the appellant's submissions and therefore did not establish a statutory ground for admission.
