Invalid auction award without bidder authorization

BGE 58 III 9Amtliche Sammlung des Bundesgerichts (BGE) / Band III11.02.1932Granted

Omnilex-Zusammenfassung

The Federal Supreme Court held that a valid auction award requires a binding bid. If the bidder acted as an agent, the bid binds the principal only with authority under Art. 32 OR or later ratification. Absent both, the award is invalid and the defect may be raised at any time, not only within the time limit of Art. 136 bis SchKG. The lower courts erred by refusing to hear the complaint on the merits; because the file was ready for decision, remittal was unnecessary.

Omnilex-Regeste

Art. 32 OR; Art. 136 bis SchKG; validity of auction award based on unauthorized bid. A debt-enforcement auction award presupposes a legally effective offer by the bidder. If the bidder purported to act for a third party, the offer binds the principal only if the representative was empowered to bid or if the principal subsequently ratifies the act. In the absence of authority and ratification, the award is voidable as lacking a civil-law basis and may be invoked by the principal without regard to the time limit of Art. 136 bis SchKG, since that provision assumes an already legally relevant offer. Debt-enforcement authorities cannot confer legal effect on a nonexistent or legally irrelevant will contrary to civil law (consid. 9).

Kernrechtsfrage

Whether an auction award is valid when the bidder lacked authority to bind the alleged principal and no later ratification occurred.

Extrahierter Entscheid

A bid binds the principal only if the bidder was authorized to bid; without authorization and without subsequent ratification, the auction award is invalid.

Extrahierte Begründung

A legally effective bid is required for a valid auction award. If the bidder acted for a third party, Art. 32 OR applies. Where there was no power of attorney and no later approval, the award cannot acquire legal effect. Such a defect may be invoked at any time by the principal, because a legally irrelevant or nonexistent will cannot be given effect by debt-enforcement authorities contrary to civil law.

Kernrechtsfrage

Whether the complaint could be rejected as untimely because the defect was not raised within the time limit of Art. 136 bis SchKG.

Extrahierter Entscheid

No. The defect is not confined to the time limit of Art. 136 bis SchKG and may be asserted at any time.

Extrahierte Begründung

Art. 136 bis SchKG presupposes a legally relevant bid. The lack of authority negates that premise, so the defect is of a nature that can be raised later as well.

Kernrechtsfrage

Whether the lower courts were entitled to refuse a merits review of the complaint.

Extrahierter Entscheid

No. The lower courts wrongly refused to examine the complaint on the merits.

Extrahierte Begründung

Because the alleged defect makes the award invalid, the complaint had to be treated substantively. The file was already ripe for decision, so remittal was unnecessary.
