Creditors of the bankrupt Nationalbahn objected to the handling of a railway concession originally transferred by the founding committee to the company. The Federal Court held that the disputed transfer's validity could not be decided in these proceedings because the founding committee itself was not a party. Since federal approval of the transfer had not yet been granted, the founding committee remained the formally entitled concession holder for the time being and could seek an extension of deadlines. The estate administrator was ordered not to object, but to reserve the estate's rights expressly and negotiate with the committee; a direct transfer of the concession to the liquidation estate was refused.
Art. 10 Railway Act of 23 December 1872; concession transfer and deadline extension after insolvency of the transferee: where federal approval of the transfer has not yet been granted, the original concession holder remains formally entitled to seek extension of the concession deadlines. The bankruptcy estate has no interest in obstructing such a request, but must expressly reserve any contractual rights arising from the transfer agreement and avoid conduct from which waiver could be inferred. A definitive ruling on whether the transfer lapsed in insolvency cannot be made without the original transferor as a party (consid. 1-3).
D. Unterm 20. December 1878 hat die Bundesversammlung mit Rücksicht auf den hierorts von Dr. Ryf erhobenen Recurs beschlossen, es werde auf das Fristerstreckungsbegehren des Grün dungscomité für die Eisenbahn Seebach-Zürich zur Zeit nicht eingetreten, dagegen der Bundesrath ermächtigt, die Frist ver längerung zu ertheilen, sobald die Frage, wer Inhaber der Con cession sei, gelöst sein werde.
