Rothschild appealed a St. Gallen cantonal judgment that had partly upheld Lang’s counterclaim for missing inventory and business interruption arising from the sale of the inn Zum Ochsen. The Federal Court held that the underlying transaction was, in legal terms, a sale of real estate with furnishings only as an accessory. As the dispute therefore fell under cantonal law pursuant to Art. 231(1) OR, the court found it lacked competence and did not enter into the appeal.
Art. 231 Abs. 1 OR; jurisdiction over claims arising from a contract that concerns both land and movables: where the transfer of the real estate constitutes the main content of one single transaction and the movables are only accessory, the contract is to be qualified as a sale of land. Claims derived from such a contract are then governed by cantonal law, so that federal appellate jurisdiction is excluded (consid. 2).

Dieser Kaufvertrag ist daher rechtlich als ein einheitliches Rechtsgeschäft aufzufassen, und wenn es sich hiebei frägt, ob derselbe ganz als Liegenschafts oder aber ganz als Mobiliarkauf zu gelten habe, so kann keinem Zweifel unterliegen, daß derselbe als Liegenschaftskauf behandelt werden muß; denn die Veräußerung der Liegenschaften bildete weitaus den Hauptinhalt des Vertrages, während die Überlassung der dazu gehörigen Mobilien lediglich als Accessorium zu diesem Hauptgeschäft hin zutrat (s. Amtliche Sammlung der bundesgerichtlichen Entschei dungen XIII, S. 510). Erscheint aber hienach das Rechtsgeschäft, auf Grund dessen die streitigen Ansprüche des Widerklägers her gelettet werden, als ein Liegenschaftskauf, so kommt für die Be urteilung derselben, gemäß Art. 231 Abs. 1 O. R., ausschließlich kantonales Recht zur Anwendung (s. die eitierte Entscheidung des Bundesgerichtes, S. 511, Erw. 4 u. ff.) und es ist somit das Bundesgericht nicht kompetent, auf die vorliegende Berufung ein zutreten. Demnach hat das Bundesgericht erkannt: Auf die Berufung des Klägers und Widerbeklagten wird wegen Inkompetenz des Bundesgerichtes nicht eingetreten.
